“Losses” shall mean all losses, damages, liabilities, deficiencies, Actions, judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers; provided, however, that “Losses” shall not include punitive damages, except to the extent actually awarded to a Governmental Authority or other third party.

"Losses" means losses, damages, liabilities, deficiencies, Actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys' fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers; provided, that "Losses" shall not include punitive damages, except in the case of fraud or to the extent actually awarded to a Governmental Authority or other third party.

“Losses” means losses, damages, liabilities, deficiencies, Actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys’ fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers; provided, however, that “Losses” shall not include # punitive damages, except in the case of fraud or to the extent actually awarded to a Governmental Authority or other third party or # lost profits or consequential damages, in any case.

“Losses” means all losses, damages, liabilities, deficiencies, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys’ fees and other professionals’ fees and expenses, and the cost of enforcing any right to indemnification hereunder; provided, however, that “Losses” shall not include punitive damages or losses, except to the extent actually paid with respect to a Third Party Claim.

“Losses” means losses, damages, liabilities, deficiencies, Actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys’ fees and the costs of enforcing any right to indemnification hereunder or pursuing any insurance providers; provided, however, “Losses” will not include punitive damages, except in the case of fraud, or to the extent actually awarded to a Governmental Authority or other third party.

“Losses” means any and all claims, suits, liabilities (including, without limitation, strict liabilities), actions, proceedings, obligations, debts, damages, losses, Costs, diminutions in value, fines, penalties, interest, charges, fees, judgments, awards, amounts paid in settlement and damages of whatever kind or nature, inclusive of bodily injury and property damage to third parties (including, without limitation, attorneys’ fees and other Costs of defense), but in no event shall Losses include punitive, special or consequential damages; provided, however, if and to the extent that Lessor or Indemnified Parties shall be required to pay any amount in connection with the Property to any third party on account of punitive, special or consequential damages, then such amount shall be deemed to constitute actual damages incurred by such Person and the same shall be payable hereunder).

“Losses” means any and all damages, liabilities, awards, fines, costs, fees, penalties, deficiencies, losses, Taxes, amounts paid or incurred in defense or settlement and related expenses, including interest, court and other legal proceeding costs, reasonable fees of attorneys, accountants, and other experts or other expenses of litigation or other proceedings or of any claim, liability, default or assessment, but excluding lost profits, consequential, punitive, special or indirect damages, unless related to a Third Party Claim and/or unless caused by the gross negligence, fraud, willful misconduct or breach of any Fundamental Representation by the Indemnifying Party(ies).

“Losses” means all losses or damages, liabilities, claims, demands, assessments, judgments, fines, penalties, amounts paid in settlement, expert witness fees, court costs, costs of enforcing any indemnity or other claim hereunder, costs of pursuing any insurer, and other out-of-pocket litigation expenses Liens, Taxes, fees, costs and expenses, but “Losses” shall not include punitive damages, except to the extent awarded in connection with a Third Party Claim; provided, however, that # for purposes of any and all indemnification claims pursuant to [Section 10.1(c)], above, “Losses” means (to the extent direct and not indirect or consequential) losses or damages, liabilities, claims, demands, assessments, judgments, fines, penalties, amounts paid in settlement, expert witness fees, court costs, costs of enforcing any indemnity or other claim hereunder, costs of pursuing any insurer, and other out-of-pocket litigation expenses Liens,

“Losses” shall mean any and all damages, losses, liabilities, taxes, commitments, obligations, awards, penalties, costs or expenses (including reasonable attorneys’ fees); provided, however, that Losses hereunder shall, except with respect to Extra-Contractual Obligations and Reinsurer Extra-Contractual Obligations, not include punitive, exemplary, indirect, special, consequential damages, lost profits or diminution in value other than damages actually paid to a non-Affiliated Person in respect of a Third Party Claim.

“Losses” means all out-of-pocket damages, losses, deficiencies, liabilities, claims, actions, demands, judgments, fines, fees, costs and expenses (including, without limitation, reasonable attorneys’ and accountants’ fees only with respect to fees incurred in connection with a Third Party Claim), and shall exclude punitive, speculative, lost profit, diminution in value, consequential and special damages of any nature and any other damages based on any type of multiple.
