any counterclaim, setoff, recoupment or defense based upon any claim any Guarantor, the Company, any Designated Borrower or any pledgor may have against the Administrative Agent or any Lender;

the existence of any counterclaim, setoff, recoupmentclaim, set-off or defense based uponother rights such Guarantor may have at any claimtime against any Guarantor,Borrower, the Company,Administrative Agent, any Designated BorrowerBank or any pledgor may have against the Administrative Agentother Person, whether in connection herewith or any Lender;unrelated transactions; provided that nothing herein shall prevent the assertion of any such claim by separate suit or compulsory counterclaim;

the existence of any counterclaim, setoff, recoupmentclaim, set off or defense based uponother rights which the Company may have at any claimtime against the Borrower, the Administrative Agent, any Guarantor, the Company, any Designated BorrowerLender or any pledgor may have against the Administrative Agentother Person, whether in connection herewith or any Lender;unrelated transactions; provided that nothing herein shall prevent the assertion of any such claim by separate suit or compulsory counterclaim;

the existence of any counterclaim, setoff, recoupmentclaim, set-off, or defense based uponother rights which any claim any Guarantor, the Company, any Designated BorrowerLoan Party or other obligor or any pledgorother guarantor may have at any time against the Administrative AgentAgent, any Lender, the L/C Issuer or any Lender;other Person, whether or not arising in connection herewith;

the existence of any counterclaim, setoff, recoupmentclaim, set off or defense based uponother right which the Company may have at any claimtime against any Guarantor,Borrowing Subsidiary, the Company,Administrative Agent, any Designated BorrowerLender, any Issuer or any pledgor may have against the Administrative Agentother Person, whether in connection herewith or any Lender;unrelated transaction; provided that nothing herein shall prevent the assertion of any such claim by separate suit or compulsory counterclaim;
