Performance of Covenants. ​ shall have performed and complied in all material respects with all obligations and covenants required by this Agreement to be performed by it before or at the Closing;

All of the covenants and obligations that the [[Organization A:Organization]] is required to perform or to comply with pursuant to this Agreement at or prior to the Closing Date shall have been duly performed and complied with in all material respects (and [[Organization A:Organization]] shall have delivered to Purchaser an officer’s certificate to such effect);

All of the covenants and obligations that the Purchaser is required to perform or to comply with pursuant to this Agreement at or prior to the Closing Date shall have been duly performed and complied with in all material respects (and Purchaser shall have delivered to [[Organization A:Organization]] an officer’s certificate to such effect);

Performance. All of the covenants and obligations that Sellers are required to perform or to comply with pursuant to this Agreement at or prior to the Closing shall have been performed and complied with in all material respects.

Performance of Covenants. Seller shall have performed in all material respects all of their covenants and obligations contained in this Agreement to be performed on or prior to the Closing Date, and Buyer shall have received a certificate to such effect, executed by the Seller and dated as of the Closing Date, in form satisfactory to Buyer.
