Deductions. The Executive agrees that benefits and payments to which the Executive is entitled pursuant to this Agreement are subject to deductions or other source withholdings as may be required by law.

The Company may withhold and deduct from any benefits and payments made or to be made pursuant to this Agreement # all federal, state, local and other taxes as may be required pursuant to any law or governmental regulation or ruling and # any deductions consented to in writing by Executive.

All amounts payable or which become payable under any provision of this Agreement shall be subject to any deductions authorized by the Executive and any deductions and withholdings required by law.
