Outside Date of Access Date. If Landlord does not cause the Access Date to occur on or before December 31, 2022 (the "Outside Date"), then the sole remedy of Tenant for such failure (subject to Section 3.3, below) shall be the right to deliver a notice to Landlord (a "Termination Notice") electing to terminate this Lease effective upon the date occurring five (5) business days following receipt by Landlord of the Termination Notice (the "Effective Date"). The Termination Notice must be delivered by Tenant to Landlord, if at all, not earlier than the Outside Date (as the same may be extended pursuant to the terms of Section 2.3.3, below) nor later than five (5) business days after the Outside Date. The effectiveness of any such Termination Notice delivered by Tenant to Landlord shall be governed by the terms of this Section 2.3.

Date of Adoption, Effective Date. The Plan was adopted by the Board of Directors of the Company on April 23, 2020, and will become effective, subject to the approval of the shareholders of the Company in accordance with applicable law, on June 15, 2020, or on such other date of approval (the applicable approval date, the “Effective Date”).

Notice of CBT Public Notice. The issuance of an CBT Public Notice, together with a statement of the chief financial officer or chief accounting officer of the such Borrower setting forth details of such CBT Public Notice and any action which such Borrower proposes to take with respect thereto.

Date of Termination. “Date of Termination” shall mean # if Executive’s employment is terminated by Executive’s death, the date of Executive’s death; or # if Executive’s employment is terminated pursuant to Section 3(a)(ii) – # either the date indicated in the Notice of Termination or the date specified by the Company pursuant to Section 3(b), whichever is earlier.

Date of Termination. Executive’s Date of Termination shall be: # if the parties hereto mutually agree to terminate this Agreement pursuant to Section 10(a) hereof, the date designated by the parties in such agreement; # if Executive’s employment by the Company is terminated pursuant to Section 10(b), the date of Executive’s death; # if Executive’s employment by the Company is terminated pursuant to Section 10(c), the last day of the applicable period referred to in Section 10(c) hereof; # if Executive’s employment by the Company is terminated pursuant to Section 10(d), the date on which a Notice of Termination is given; and # if Executive’s employment by the Company is terminated pursuant to Sections 10(e), 10(f) or 10(g), the date the Notice of Termination or Notice of Resignation, as the case may be, is given.
