Data Retention. Participant understands that the Company will use Participant’s Personal Data only as long as is necessary to implement, administer and manage Participant’s participation in the Plan, or to comply with legal or regulatory obligations, including under tax and securities laws. In the latter case, Participant understands and acknowledges that the Company’s legal basis for the processing of Participant’s Personal Data would be compliance with the relevant laws or regulations. When the Company no longer needs Participant’s Personal Data for any of the above purposes, Participant understands the Company will remove it from its systems.

Sample Retention. During the Manufacture of Product, WuXi ATU will, in accordance with the Graphite Process Batch Records, take samples of Product in quantities as specified in the Graphite Process Batch Records for sample retention and Product testing purposes. Samples retains will be kept by WuXi ATU in accordance with the Quality Agreement. If Graphite requires a longer storage retention period, and WuXi ATU is willing to provide such storage, the terms shall be addressed in a separate Work Order. At the end of the retention period or upon Graphite's written request, at Graphite's reasonable expense, WuXi ATU will ship such retained samples to Graphite. In the event Graphite elects not to take possession of such sample retains, WuXi ATU will dispose of the sample retains in accordance with its SOPs.

Retention Award. Subject to the terms of this Agreement, Executive will receive a one-time retention award of restricted stock with a grant date fair value of (the “Retention Award”), which will vest and become unrestricted 20% per year on each of the first through the fifth anniversaries of the Closing, subject to Executive’s continued employment with the Company through each applicable vesting date, unless earlier vested upon a qualifying termination event provided for in [[Sections 5.2, 5.3, or 5.4]4]4]]4]4]. Executive acknowledges and agrees that the Retention Award will be granted in lieu of any cash severance amounts that Executive would have been entitled to receive upon any qualifying termination of employment under that certain Change in Control Agreement entered into by and between Executive and Flagstar effective as of (the “Flagstar Change in Control Agreement”), and any other severance plans or programs of Flagstar or the Company, and Executive hereby expressly waives all rights to any payments and/or benefits under the Flagstar Change in Control Agreement, and any other such plans or programs. For the avoidance of doubt, the Executive will not be eligible for, and will not receive, any payments or benefits under any otherwise applicable severance plans or programs of, the Company unless expressly provided for following the date of the Closing or as otherwise mutually agreed between the Parties.

Records Retention. Supplier agrees to maintain complete and accurate books and records regarding all matters hereunder including Supplier's specifications, raw material procurement and/or testing documents related to the Hemp Extracts, as well as Supplier's production and other compliance with its obligations under this Agreement. All such documents must be maintained for a minimum of 5 years beyond the termination or expiration of this Agreement. (the "Retention Period"); provided, however, that in the event of any dispute arising with respect to this Agreement, or in the event of any claim, demand or lawsuit by Buyer or any third party with respect to any Product produced by Supplier under this Agreement, the Retention Period shall last until the resolution of the dispute becomes final and non-appealable and all obligations of the Parties are fully satisfied.

Retention Bonus. The Company will pay you the Retention Bonus on or before March ​, 2020. Once paid to you, the Retention Bonus will vest and become non-forfeitable on the earlier of # and # the consummation of a Successful Transaction (as applicable, the “Vesting Date”), subject to your continued employment with the Company on the Vesting Date and the other terms and conditions set forth herein. You agree that in the event your employment with the Company terminates prior to the Vesting Date for any reason other than a Qualifying Termination, you will be required to repay to the Company one hundred percent (100%) of the After-Tax Value of the Retention Bonus within thirty (30) days of such termination. Notwithstanding anything to the contrary contained herein, in the event of your Qualifying Termination before the Vesting Date, subject to your execution and non-revocation of a customary release of claims in a form reasonably satisfactory to the Company within sixty (60) days of your Qualifying Termination date, you will not be required to repay to the Company any portion of the Retention Bonus that was paid to you prior to your Qualifying Termination date. For the avoidance of doubt, a leave of absence approved by the Company shall not constitute a termination of your employment for purposes of this Agreement.

Retention Bonus. If Employee meets all of the conditions and eligibility requirements set forth below, the Company shall pay Employee a bonus (the “Retention Incentive Bonus”) in the gross amount of , less applicable withholdings and deductions. The Retention Incentive Bonus will be paid as a lump sum, less applicable deductions and withholdings, within thirty (30) days following the earlier of: (the “Transition End Date”), or the termination of Employee by the Company without cause. The Company may withhold from any amounts payable under this Agreement such federal, state, or local taxes as shall be required to be withheld pursuant to any applicable law or regulation. The Retention Incentive Bonus should be viewed as an indication of the Company’s confidence in and appreciation of Employee’s abilities, and as an additional form of compensation to meet a special purpose. The Retention Incentive Bonus will be in addition to any other compensation or benefits (including without limitation severance benefits) that Employee may otherwise be eligible to receive, and is not a permanent or recurring element of Employee’s compensation, nor will it impact any other element of compensation for which Employee may otherwise be eligible.

Document Retention. With respect to each Participated Mortgage Loan, will maintain in its files all records relating to such Participated Mortgage Loan for the period of time required by applicable Law, but in no event for less than twenty-five (25) months from the Purchase Date for such Participated Mortgage Loan. Within twenty-four (24) hours following any demand therefor, will supply with certified copies and/or originals of any such records.

Retention Bonus. Within thirty (30) calendar days following the Sale of the Company, the Company will pay the Executive a lump sum cash amount equal to seventy-five percent (75%) of his annualized base salary with AMC on the Effective Date or on the date of the Sale of the Company, whichever is greater, provided that the Executive has remained continuously employed by the Company or an affiliate of the Company until the Sale of the Company. Notwithstanding the foregoing, the Executive will be entitled to payment under this paragraph if the Executive’s employment with the Company is terminated without Cause or by the Executive for Good Reason, during the Term hereof and before a Sale of the Company.

On and after the Effective Date, the Reorganized Debtors may maintain documents in accordance with their standard document retention policy, as may be altered, amended, modified, or supplemented by the Reorganized Debtors.

Retention Payment. Subject to satisfaction of the terms and conditions of [[Sections 2 and 3]3]]3] of this Agreement, Weyerhaeuser (or a subsidiary or affiliate thereof) will pay you a one-time retention payment in the amount of (the “Retention Payment”). If earned, Weyerhaeuser (or a subsidiary or affiliate thereof) will pay the Retention Payment in cash in a single lump sum as soon as practicable, but in no event more than 30 days, after the closing date (“Closing Date”) of a transaction involving the divestiture of all or substantially all of the Cellulose Fibers business (the “Transaction”). The Retention Payment will be in addition to any other retention or severance payments otherwise due under existing agreements and/or severance plans or programs for which you are eligible.
