Participant agrees, understands and acknowledges that by signing this Agreement, Participant has given his/her voluntary and explicit consent to the Company to process personal data and/or sensitive personal data concerning the Participant, including but not limited to the information provided in this Agreement and any changes thereto, other necessary or appropriate personal and financial data relating to Participant and Participant’s Award, participation in the Plan, and the Shares acquired upon vesting of the Award. Participant also hereby gives his or her explicit and voluntary consent to the Company to transfer any such personal data and/or sensitive personal data or information outside the country or jurisdiction in which the Participant works or is employed in order for the Company to fulfill its obligations under this Award and the Plan. Participant acknowledges that the Company and any subsidiary may make such personal data available to one or more third parties selected by the Company or the Administrator who provide services to the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that the transfer of the personal data is important to the administration of the Award and the Plan and that failure to consent to the transmission of such data may limit his or her participation in the Plan.

Consent to Transfer Personal Data. By acknowledging an Award Opportunity, each Participant agrees, understandswill voluntarily acknowledge and acknowledges that by signing this Agreement, Participant has given his/her voluntary and explicit consent to the Company to processcollection, use, processing and transfer of personal data and/or sensitive personal data concerning the Participant, including but not limited to the information providedas described in this AgreementSection 24. Participants are not obliged to consent to such collection, use, processing and any changes thereto, other necessary or appropriatetransfer of personal and financial data relatingdata. However, failure to Participant andprovide the consent may affect the Participant’s Award,ability to participate in this Plan. The Company and its Affiliates hold certain personal information about each Participant, that may include name, home address and telephone number, fax number, email address, family size, marital status, sex, beneficiary information, emergency contacts, passport / visa information, age, language skills, drivers license information, date of birth, birth certificate, social security number or other employee identification number, nationality, C.V. (or resume), wage history, employment references, job title, employment or severance contract, current wage and benefit information, personal bank account number, tax related information, plan or benefit enrollment forms and elections, option or benefit statements, any shares of stock or directorships in the Company, details of all options or any other entitlements to Shares awarded, canceled, purchased, vested, unvested or outstanding in the Participant’s favor, for the purpose of managing and administering this Plan (“Data”). The Company and its Affiliates will transfer Data amongst themselves as necessary for the purpose of implementation, administration and management of each Participant’s participation in thethis Plan, and the Shares acquired upon vesting of the Award. Participant also hereby gives his or her explicit and voluntary consentmay further transfer Data to the Company to transfer any such personal data and/or sensitive personal data or information outside the country or jurisdiction in which the Participant works or is employed in order for the Company to fulfill its obligations under this Award and the Plan. Participant acknowledges thatthird parties assisting the Company and any subsidiaryits Affiliates in the implementation, administration and management of this Plan. These recipients may makebe located throughout the world, including the United States. By acknowledging an Award Opportunity, each Participant will authorize such personal data available to one or more third parties selected byto receive, possess, use, retain and transfer the CompanyData, in electronic or other form, for the Administrator who provide services topurposes of implementing, administering and managing the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that theParticipant’s participation in this Plan, including any requisite transfer of the personal data is important tosuch Data as may be required for the administration of this Plan and/or the Award andsubsequent holding of Shares on the Plan and that failureParticipant’s behalf to a broker or other third party with whom the Participant may elect to deposit any Shares acquired pursuant to this Plan. A Participant may, at any time, review Data, require any necessary amendments to it or withdraw the consents herein in writing by contacting the Company; however, withdrawing such consent may affect the Participant’s ability to the transmission of such data may limit his or her participationparticipate in thethis Plan.

Participant understands and acknowledges that thePlan, including any requisite transfer of the personal data is important tosuch Data as may be required for the administration of the Award andPlan and/or the Plan and that failuresubsequent holding of shares of stock on the Participant’s behalf to consenta broker or other third party with whom the Participant may elect to deposit any shares of stock acquired pursuant to the transmission ofPlan. A Participant may, at any time, review Data, require any necessary amendments to it or withdraw the consents herein in writing by contacting the Company; however, withdrawing such dataconsent may limit his or her participationaffect the Participant’s ability to participate in the Plan.

The Participant agrees, understandshereby explicitly and acknowledges that by signing this Agreement, Participant has given his/her voluntary and explicit consentunambiguously consents to the Company to processcollection, use and transfer, in electronic or other form, of the Participant’s personal data and/or sensitive personal data concerningas described in the Participant, including but not limited to the information provided in thisAward Agreement and any changes thereto, other necessary or appropriate personalgrant materials by and financial data relating to Participantamong, as applicable, the Company, the Employer and any other Subsidiary for the exclusive purpose of implementing, administering and managing the Participant’s Award, participation in the Plan, and the Shares acquired upon vesting of the Award. Participant also hereby gives his or her explicit and voluntary consent to the Company to transfer any such personal data and/or sensitive personal data or information outside the country or jurisdiction in which the Participant works or is employed in order for the Company to fulfill its obligations under this Award and the Plan. Participant acknowledges that the Company and any subsidiary may make such personal data available to one or more third parties selected by the Company or the Administrator who provide services to the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that the transfer of the personal data is important to the administration of the Award and the Plan and that failure to consent to the transmission of such data may limit his or her participation in the Plan.

Participant also hereby gives his or her explicit and voluntary consent to the Company to transfer any such personal data and/or sensitive personal data or information outside the country or jurisdiction in which the Participant works or is employed in order for the Company to fulfill its obligations under this Award and the Plan. Participant acknowledges that the Company and any subsidiary may make such personal data available to one or more third parties selected by the Company or the Administrator who provide services to the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that the transfer of the personal data is important to the administration of the Award and the Plan and that failure to consent to the transmission of such data may limit his or her participation in the Plan.

Personal Data. Participant agrees, understands and acknowledges that by signing this Agreement, Participant has given his/her voluntary and explicit consentData Privacy. In order to administer the Plan, the Company tomay process personal data and/or sensitive personalabout the Participant. Such data concerning the Participant, includingincludes but is not limited to the information provided in this Agreement and any changes thereto, other necessary or appropriate personal and financial data relatingabout the Participant such as home address and business addresses and other contact information, payroll information and any other information that might be deemed appropriate by the Company to Participant and Participant’s Award, participation infacilitate the Plan, and the Shares acquired upon vestingadministration of the Award.Plan. By accepting this Restricted Stock Award, the Participant gives explicit consent to the Company to process any such personal data and also hereby gives his or her explicit and voluntary consent to the Company to transfer any such personal data and/or sensitive personal data or information outside the country or jurisdiction in which the Participant works or is employed in order forto transferees and other persons designated by the Company to fulfill its obligations under this Award andassist in administering the Plan. Participant acknowledges that the Company and any subsidiary may make such personal data available to one or more third parties selected by the Company or the Administrator who provide services to the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that the transfer of the personal data is important to the administration of the Award and the Plan and that failure to consent to the transmission of such data may limit his or her participation in the Plan.

Personal Data.Data Privacy. Pursuant to applicable personal data protection laws, ​ hereby notifies the Participant agrees, understands and acknowledges that by signing this Agreement, Participant has given his/her voluntary and explicit consentof the following in relation to the Company to processParticipant’s personal data and/or sensitiveand the collection, use, processing and transfer of such data in relation to ​’s grant of this Award and the Participant’s participation in the Plan. The collection, use, processing and transfer of the Participant’s personal data concerningis necessary for ​’s administration of the Participant, including but not limited toPlan and the information provided in this Agreement and any changes thereto, other necessary or appropriate personal and financial data relating to Participant and Participant’s Award, participation in the Plan, and the Shares acquired upon vesting of the Award. Participant also hereby gives his Participant’s denial and/or her explicit and voluntary consentobjection to the Company tocollection, use, processing and transfer any suchof personal data and/or sensitive personal data or information outsidemay affect the country or jurisdiction in which the Participant works or is employed in order for the Company to fulfill its obligations under this Award and the Plan. Participant acknowledges that the Company and any subsidiary may make such personal data available to one or more third parties selected by the Company or the Administrator who provide services to the Company relating to the Award and the Plan. Participant hereby acknowledges that he or she has been informed of his or her right of access to his or her personal data by contacting his or her strategic growth representative. Participant understands and acknowledges that the transfer of the personal data is important to the administration of the Award and the Plan and that failure to consent to the transmission of such data may limit his or herParticipant’s participation in the Plan. As such, the Participant hereby voluntarily acknowledges and consents (where required under applicable law) to the collection, use, processing and transfer of personal data as described in this paragraph.
