For purposes of determining the Commercial Milestone Payments and royalties payable hereunder, sales of Licensed Products invoiced in a currency other than Dollars shall be expressed in their Dollar equivalent calculated using Takeda’s own standard currency translation methodology for the conversion of foreign sales currencies into Dollars, which methodology shall be in accordance with the Applicable Accounting Standards and shall be the methodology generally used by Takeda for currency conversions in Takeda’s audited financial statements.

Currency Exchange. With respect to Net Sales invoiced in a currency other than U.S. Dollars, the Net Sales will be expressed in the domestic currency of Zai Lab and converted to U.S. Dollars using the weighted average based on sales of the daily foreign exchange rates as published by The Wall Street Journal, Eastern Edition for the Calendar Quarter in which the Net Sales occurred.

Currency Exchange. For purposes of computing royalties on Net Sales in any country outside the United States, the Net Sales shall be converted to United States Dollars using the year-to-date average rate of exchange for United States Dollars used by XPH for its internal financial accounting purposes; provided, however, that if for any reason conversion into United States Dollars cannot be made in a country in the Territory, then notwithstanding the provisions of Section 4.4(a), payment may be made in the currency of such country by deposit in the name of Kinex in a bank account designated by Kinex in such country.

Currency Exchange. All payments to be made to Novo by TransTech shall be made by wire transfer of immediately available funds in United States Dollars, to a bank account designated by Novo able to receive United States Dollars. Royalty payments shall be converted to United States Dollars in accordance with the following: the rate of currency conversion shall be calculated using a simple average of mid-month and month-end rates as provided by Brown Brothers Harriman, 59 Wall Street, NY, NY 10005, for each relevant period or, if such rate is not available, the spot rate as published by The Wall Street Journal, Eastern Edition for such relevant period. The currency rates used shall be set forth in the report for that period provided by TransTech to Novo pursuant to [Section 4.3].

Currency Exchange. Employee shall be responsible for determining the extent to which the compensation and other payments she receives hereunder are converted to Canadian dollars and brought to Canada. To the extent that the U.S./Canadian dollar exchange rate varies significantly from the exchange rate in effect on the Effective Date, the Company and Employee agree to jointly determine whether any of the foregoing benefits need to be adjusted to offset any adverse impact to Employee from these fluctuations.

Currency Exchange. The rate of exchange to be used in computing the amount of currency equivalent in U.S. Dollars owed to a Party under this Agreement will be the monthly average exchange rate between each currency of origin and U.S. Dollars as reported by ​ or an equivalent resource as agreed by the Parties.

Currency Exchange. Notwithstanding anything to the contrary in the Agreement, the Parties agree that PTC may use any generally accepted exchange rate methodology that PTC uses for all or substantially all of its global operations for the purposes of any currency conversions required in connection with the calculation of royalty payments to Akcea pursuant to the Agreement. Akcea acknowledges that PTC currently uses European Central Bank rates applied on a monthly basis and agrees that this methodology is acceptable for purposes the calculation of royalty payments to Akcea pursuant to the Agreement.

Currency Exchange. For purposes of any determination under this Agreement measured in Dollars, all amounts incurred, outstanding or proposed to be incurred or outstanding in currencies other than Dollars shall be translated into Dollars at the spot rate for the purchase of Dollars for the applicable foreign currency as published in The Wall Street Journal in the "Exchange Rates" column under the heading "Currency Trading" or as made available by any other source reasonably acceptable to the Agent on the date of such determination; provided, however, that # for purposes of determining compliance with respect to the amount of any Indebtedness, Transfer, Investment, transaction permitted by Section 7.7 or judgment in a currency other than Dollars, no Default or Event of Default shall be deemed to have occurred as a result of changes in rates of exchange occurring after the time such Indebtedness is incurred, or disposition, Investment or transaction permitted by Section 7.7 is made, or such judgment entered, and # notwithstanding anything herein to the contrary, nothing in this paragraph changes, modifies or alters the obligations of any Loan Party to pay all amounts owed hereunder in the Dollar amount required hereunder notwithstanding any changes or other fluctuations with respect to any currency exchanged into Dollars.

Currency Exchange. The exchange rate for converting Net Sales from the local currency to Dollars for the purpose of computing payments to aTyr under Section 8.4 will be the central rate on the last day of the Calendar Quarter, as quoted by Mizuho Bank, Ltd., Tokyo, Japan, to which such royalty payment relates.

Currency Exchange. All payments under this Agreement shall be payable, in full, in Dollars, regardless of the country(ies) in which sales are made. For the purposes of computing Net Sales of Collaboration Products Commercialized by a Party that are sold in a currency other than Dollars, such currency shall be converted into Dollars ​.
