Cumulative Adjustments contract clause examples

Cumulative. The warranties and representations set forth herein shall be cumulative and in addition to any and all other warranties and representations that Borrower now or hereafter shall give, or cause to be given, to Lender.

Adjustments. At least annually the Parties will review the Service Levels and will make adjustments to them as appropriate to reflect changing business priorities or improved performance capabilities associated with advances in technology and methods used to perform the Services.

Cumulative Adjustments. The provisions of [Sections 6.3.3(a)] (No Valid Claim) and 6.3.3(b) (Royalty Stacking) are cumulative. Any reduction pursuant to [Section 6.3.3(a)] (No Valid Claim) will be applied before any other reduction is applied.

Adjustments. If the Servicer, directly or through a Subservicer, makes # a deposit into the Collection Account in respect of a collection of a Receivable and such collection was received by the Servicer in the form of a check that is not honored for any reason or # a mistake with respect to the amount of any collection and deposits an amount that is less than or more than the actual amount of such collection, the Servicer shall appropriately adjust the amount

Adjustments. In the event of any reorganization, merger, consolidation, recapitalization, liquidation, reclassification, stock dividend, stock split, combination of shares, rights offering, or divestiture (including a spin-off), or any other change in the corporate structure or shares of the Company, the Committee (or, if the Company is not the surviving corporation in any such transaction, the board of directors of the surviving corporation), in order to prevent dilution or enlargement of the rights of the Grantee, will make appropriate adjustment (which determination will be conclusive) as to the number and kind of securities or other property (including cash) subject to this Award.

Cumulative Adjustments. The provisions of [Sections 6.4.4(a)] (Valid Claim Adjustment), 6.4.4(b) (Reduction for Generic Competition), and 6.4.4(c) (Third Party Obligations) are cumulative; provided, however, on a country-by-country and Product-by-Product basis, in no event will the royalty reductions for a Product permitted under [Sections 6.4.4(a)] (Valid Claim Adjustment), 6.4.4(b) (Reduction for Generic Competition), or 6.4.4(c) (Third Party Obligations), alone or together, reduce the royalties due to Fulcrum for such Product pursuant to [Section 6.4.1] (Royalty Rates) in a country in a given Calendar Quarter by more than # if such Product is not a New Modality, ​ of the applicable royalties that would otherwise be owed on the Net Sales of such Product or # if such Product is a New Modality, ​ of the applicable royalties that would otherwise be owed on the Net Sales of such Product.

Adjustments. If there is a change in the outstanding shares of Common Stock due to a stock dividend, split, or consolidation, or a recapitalization, corporate change, corporate transaction, or other similar event relating to the Company, the Committee may adjust the type or number of shares of Common Stock subject to any outstanding portion of the Award in accordance with Article X of the Plan.

Adjustments. Notwithstanding anything to the contrary contained in this Agreement, if any Lender becomes a Defaulting Lender, then, until such time as that Lender is no longer a Defaulting Lender, to the extent permitted by applicable Law:

Adjustments. In the event that any large, special and non-recurring dividend or other distribution (whether in the form of cash or property other than Stock), recapitalization, forward or reverse split, Stock dividend, reorganization, merger, consolidation, spin-off, combination, repurchase, share exchange, liquidation, dissolution or other similar corporate transaction or event affects the Stock such that an adjustment is determined by the Committee to be appropriate under the Plan, then the Committee shall, in such manner as it may deem equitable, adjust any or all of # the number and kind of shares of Stock which may be delivered in connection with Awards granted thereafter, # the number and kind of shares of Stock subject to or deliverable in respect of outstanding Awards and # the exercise price, grant price or purchase price relating to any Award or, if deemed appropriate, the Committee may make provision for a payment of cash or property to the holder of an outstanding Option (subject to Section 8(k)).

Adjustments. If the Servicer, directly or through a Subservicer, makes # a deposit into the Collection Account in respect of a collection of a Receivable and such collection was received by the Servicer in the form of a check that is not honored for any reason or # a mistake with respect to the amount of any collection and deposits an amount that is less than or more than the actual amount of such collection, the Servicer shall appropriately adjust the amount subsequently deposited into the Collection Account to reflect such dishonored check or mistake. Any Scheduled Payment in respect of which a dishonored check is received shall be deemed not to have been paid.
