Invalidity of Loan Documents. Any material provision of this Agreement or any Other Document shall (taken as a whole), for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, cease to be valid and binding on any Loan Party, or any Loan Party shall so claim in writing to [[Organization B:Organization]] or any [[Organization C:Organization]];

Invalidity of Loan Documents. Any material provision of this Agreement or any Other Document shall (taken as a whole),Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all Obligations arising under the Obligations, ceaseLoan Documents, ceases to be validin full force and binding on any Loan Party,effect; or any [[Loan Party shall so claim in writing to [[Organization B:Party:Organization]] or any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any [[Organization C:Loan Party:Organization]]; denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document; or

Any material provision of this Agreement or any Other Document shall (taken as a whole),Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, ceaseceases to be validin full force and binding on any Loan Party,effect; or any Loan Party shall so claimor any other Person contests in any manner the validity or enforceability of any provision of any Loan Document; or any Loan Party denies in writing that it has any or further liability or obligation under any Loan Document, or purports to [[Organization B:Organization]]revoke, terminate or rescind any [[Organization C:Organization]];provision of any Loan Document; or

Any material provision of this Agreement or any Other Document shall (taken as a whole),Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, ceaseceases to be validin full force and bindingeffect (provided that the cessation of the effect of such provision could have a material impact on any Loan Party, or any Loan Party shall so claim in writing tothe practical benefits realized by [[Organization B:Organization]] hereunder); or the Borrower contests in any manner the validity or enforceability of any provision of any Loan Document (provided that the invalidity or unenforceability of such provision could have a material impact on the practical benefits realized by [[Organization C:B:Organization]] hereunder); or the Borrower denies that it has any or further liability or obligation under any Loan Document, or purports to revoke, terminate or rescind any provision of any Loan Document.

Invalidity of Loan Documents. Any material provision of this Agreement orLoan Document, at any Other Document shall (taken as a whole),time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, ceaseceases to be validin full force and binding oneffect with respect to any [[Loan Party:Organization]]; or any [[Loan Party:Organization]] other than the [[Administrative Agent:Organization]] or one of the Lenders contests in any manner the validity or enforceability of any Loan Party,Document; or any [[Loan Party shall so claim in writing to [[Organization B:Party:Organization]] denies that it has any or further liability or obligation under any [[Organization C:Organization]];Loan Document, or purports to revoke, terminate or rescind any Loan Document; or

(i) Any material provision of this Agreement or any Other Document shall (taken as a whole),Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Obligations, ceaseceases to be validin full force and binding on any Loan Party,effect; or # any Loan Party shall so claimcontests in writingany manner the validity or enforceability of any provision of any Loan Document; or # any Loan Party denies that it has any or further liability or obligation under any provision of any Loan Document, or purports to [[Organization B:Organization]]revoke, terminate or rescind any [[Organization C:Organization]];provision of any Loan Document, in the case of clauses (i), (ii) and (iii), in any material respect; or

Any material provision of this Agreement or any Other Document shall (taken as a whole),Loan Document, at any time after its execution and delivery and for any reason other than as expressly permitted hereunder or thereunder or the satisfaction in full of all the Credit Extensions and all other Obligations, ceaseceases to be validin full force and binding on any Loan Party,effect; or any Loan Party shall so claimcontests in writing to [[Organization B:Organization]]the validity or enforceability of any Loan Document; or any [[Organization C:Organization]];Loan Party denies in writing that it has any or further liability or obligation under any Loan Document, or revokes, terminates or rescinds in writing any Loan Document, except in each case to the extent in accordance with the terms of such Loan Document; or
