Credit Agreement. “Credit Agreement” shall mean the Amended and Restated Credit Agreement dated as of September 26, 2019, by and among the Borrower, the Lenders, and the Administrative Agent, together with the Exhibits and Schedules attached thereto as amended by the First Amendment to Amended and Restated Credit Agreement dated as of January 6, 2020, and effective as of December 31, 2019, and the Second Amendment to Amended and Restated Credit Agreement dated as of June 30, 2020.

Borrowers, Guarantors, Administrative Agent and Lenders entered into an Amended and Restated Credit Agreement dated as of August 12, 2014, as amended by First Amendment to Amended and Restated Credit Agreement dated as of January 16, 2015 (the “Credit Agreement”). All capitalized terms used herein and not otherwise defined shall have the meanings given to them in the Credit Agreement.

“Existing Credit Agreement” means that certain Third Amended and Restated Credit Agreement, dated as of March 31, 2017, by and among the Borrowers, as borrowers thereunder, the lenders party thereto and the Administrative Agent, as the same has been amended, supplemented or otherwise modified prior to the Restatement Effective Date.

Reference is hereby made to that certain Second Amended and Restated Credit Agreement dated as of June 22, 2018, entered into by and among Borrower, Administrative Agent, the L/C Issuers and the Lenders (as amended, the “Credit Agreement”).

The Borrower, the Lenders and the Administrative Agent are parties to that certain Credit Agreement, dated as of September 27, 2012, as amended by that certain First Amendment to Credit Agreement, dated as of December 31, 2013 (said Credit Agreement, as amended, the “Credit Agreement”). The terms defined in the Credit Agreement and not otherwise defined herein shall be used herein as defined in the Credit Agreement.

“Existing Credit Agreement”: means the Credit Agreement among the Borrower, the Guarantors, the Administrative Agent and ​ dated as of January 3, 2019, as amended and in effect immediately prior to the FirstSecond Amendment Effective Date.

“Existing Credit Agreement” means that certain Second Amended and Restated Credit Agreement, dated as of February 13, 2014, by and among the Borrowers, as borrowers thereunder, the lenders party thereto and the Administrative Agent, as the same has been amended, supplemented or otherwise modified prior to the Restatement Effective Date.

Borrowers, Guarantors, Administrative Agent and Lenders entered into an Amended and Restated Credit Agreement dated as of August 12, 2014 (the "Credit Agreement"). All capitalized terms used herein and not otherwise defined shall have the meanings given to them in the Credit Agreement.

The Borrower, the banks and other financial institutions party thereto and the Administrative Agent are parties to that certain Fourth Amended and Restated Credit Agreement dated as of September 29, 2011, as amended by the First Extension Agreement, dated as of July 19, 2013 and as further amended by the Second Extension Agreement, dated as of September 18, 2014 (as amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”). Capitalized terms used herein without definition shall have the meanings given to them in the Credit Agreement as they may be modified pursuant to this Agreement.

Borrower, Administrative Agent, and ​ entered into the Credit Agreement dated as of September 1, 2021, as amended by the First Amendment dated December 6, 2021, the Second Amendment dated May 18, 2022, and the Third Amendment dated December 7, 2022 (as amended and as further amended, restated, supplemented and/or otherwise modified prior to the date hereof, the “Existing Credit Agreement”), for the purpose and consideration therein expressed, whereby ​ made loans to Borrower as therein provided; and
