The Lenders party hereto (including the Additional Term A-3 Lender[[Borrower:Organization]] hereby acknowledge that the Term A-3 Loans do not have a corresponding Class of loans under the Nexstar Credit Agreement that “Constitutes the Same Class With” such Term A-3 Loans and, effective as of the Second Amendment Effective Date, hereby waive any Default or Event of Default which may have occurred as a result thereof under the Existing Credit Agreement, including Section 8.01(n[[Borrower:Organization]](iv[[Borrower:Organization]] thereof.

#Section 1.1 of the Credit Agreement, Defined Terms, is hereby modified and amended by deleting the definition of “LIBO Rate” and “Revolving Credit Maturity Date” set forth therein in their entirety and inserting in lieu thereof, respectively, the following:
