Resolution by Executives. If any Dispute arises, either Party may refer such Dispute to the Executive Officers, who shall meet in person or by telephone within [†] days after such referral to attempt in good faith to resolve such Dispute. If such matter cannot be resolved by discussion of such officers within such [†] day period (as may be extended by mutual written agreement), such Dispute shall be resolved in accordance with the remainder of this [Section 14.7]. The Parties acknowledge that discussions between the Parties to resolve Disputes are settlement discussions under applicable rules of evidence and without prejudice to either Party’s legal position.

From time to time, the Compensation Committee of the Board of Directors of the Company (the “Committee”) may select certain key executives (the “Covered Executives”) to be eligible to receive bonuses hereunder.

Specified Executives. Notwithstanding any other provision of this Agreement, if any payment or benefit provided [[Organization A:Organization]] Executive in connection with his termination of employment is determined to constitute “nonqualified deferred compensation” within the meaning of [Section 409A] and the Executive is determined to be a “specified Executive” as defined under Section 409A, then such payment or benefit shall not be paid until the first payroll date to occur following the six-month anniversary of the date of the Executive’s separation from service or, if earlier, on the Executive’s death (the “Specified Executive Payment Date”).
