Covenants Survive Termination. Except to the extent otherwise expressly limited to a restricted period in Section 6(a) [Noncompetition], all covenants and provisions contained in this Section 6 shall survive any termination, including expiration, of CEO's employment with Company.

Survival of Covenants. The covenants of Melamed set forth in [Section 5] herein shall survive the termination of the Employment Period or termination of this Agreement, except as otherwise stated herein.

All covenants and provisions contained in [Section 9] shall survive the termination of the Officer's employment, regardless of the reason of such termination.

The terms and covenants of this [Section 10] shall survive the termination or expiration of this Agreement.

Termination of Covenants. The covenants of the Company contained in [Sections 4.1 through 4.8] shall terminate, and be of no further force or effect, upon # the effective date of a registration statement filed by the Company under the Securities Act, covering the Initial Public Offering, or # upon a sale of the Company by merger in which the shareholders of the Company in their capacity as such no longer own a majority of the outstanding equity securities of the Company (or its successor), or # for the covenants in

Survival. The covenants contained in [Sections 5, 6, 7, 10 through 27] shall survive any termination or expiration of this Agreement.

All such covenants and agreements so incorporated herein by reference shall survive any termination, cancellation, discharge or replacement of the Incorporated Agreement.

Survival of Covenants, Agreements, Representations and Warranties. All representations, warranties, covenants, agreements and indemnities made hereunder or pursuant hereto or in connection with the Transactions shall survive the termination of this Agreement and shall continue in full force and effect thereafter according to their terms without limit as to duration.

[[Organization B:Organization]] may have had notice or knowledge or reason to believe that such representation or warranty was false or misleading at the time the Transaction was made. Notwithstanding any such termination or the occurrence of an Event of Default, all of the representations and warranties and covenants hereunder shall continue and survive. The obligations of [[Organization C:Organization]] under [Section 14] hereof shall survive the termination of this Agreement.

Each of the covenants and agreements of this Article shall be applicable to any covenant or agreement either expressly contained in this Lease or imposed by Applicable Laws and shall survive the expiration or earlier termination of this Lease.
