Covenant Breaches. Any Loan Party shall # fail to perform or observe any covenant contained in Sections 5.01 (with respect to the existence of the Borrower) and 5.07(a) and Article VI or # fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which is not covered by [clause (i) above] or any other provision of this Section 7.01 if such failure shall remain unremedied for 30 days after the earlier to occur of any Loan Party obtaining knowledge thereof or receiving notice thereof from the Administrative Agent (including at the request of any Lenderthe Majority [[Organization B:Organization]]);

any Loan Party shall fail to observe or perform any covenant, condition or agreement contained in this Agreement (other than those which constitute a default under another Section of this Article), and such failure shall continue unremedied for a period of # five (5) Business Days after the earlier of any Loan Party’s knowledge of such breach or notice thereof from the Administrative Agent (which notice will be given at the request of any Lender) if such breach relates to terms or provisions of [Section 5.01, 5.02]2] (other than [Section 5.02(a)]), 5.03 through 5.07, 5.10, 5.11 or 5.13 of this Agreement or # 15 days after the earlier of any Loan Party’s knowledge of such breach or notice thereof from the Administrative Agent (which notice will be given at the request of any Lender) if such breach relates to terms or provisions of any other Section of this Agreement;

any Borrower or any other Loan Party shall fail to observe or perform any covenant, condition or agreement contained in this Agreement (other than those specified in clause (a), (b) or (d) of this Article) or any other Loan Document, and such failure shall continue unremedied for a period of 30 days (provided that such period shall be 10 days in the case of the failure to observe or perform any covenant in [Section 5.01]) after the earlier of # the date any Responsible Officer obtains actual knowledge thereof or # the date written notice thereof is given by the Administrative Agent to the Company (which notice will be given at the request of any Lender);

any Loan Party shall fail to observe or perform any covenant or agreement contained or incorporated by reference in this Agreement (other than those covered by [clause (a) or (b) above] or clauses (n) or (q) below) or any other Loan Document; provided that such failure continues for # ten (10) days in the case of Section 5.01, Section 5.11 or 5.27 or # otherwise, thirty days, in each case after the earlier of # the first day on which any Loan Party has knowledge of such failure or # written notice thereof has been given to the Borrower by the Administrative Agent at the request of any Lender; or

Breaches of Other Covenants. Borrower or any of its Subsidiaries shall fail to perform or observe # any of the covenants or agreements contained in [Sections 6.01, 6.02, 6.03, 6.05, 6.06, 6.08, 6.09, 6.12, 6.13, 6.14]4]4]4]4]4]4]4] or Article 7 hereof or # any other covenant, or agreement contained in any Transaction Document (other than the other Events of Default specified in this Article 9) and such failure remains unremedied for twenty (20) days from the earlier of # the date on which the Agent has given Borrower written notice of such failure and # the date on which Borrower knew or should have known of such failure; or

the Borrower shall fail to observe or perform any covenant, condition or agreement contained in this Agreement (other than those specified in [Section 7.01(a), (b) or (d)])]) or any other Loan Document and such failure shall continue unremedied for a period of 30 days after the earlier to occur of # the Borrower obtaining knowledge thereof and # the date that notice thereof shall have been given to the Borrower by the Administrative Agent or the Required Lenders;

any Loan Party shall fail to observe or perform any covenant, condition or agreement contained in this Agreement (other than those which constitute a default under another Section of this Article VII) or any other Loan Document, and such failure shall continue unremedied for a period of thirty (30) days after the earlier of any Loan Party’s knowledge of such breach or notice thereof from the Administrative Agent (which notice will be given at the request of any Lender);

any Loan Party shall fail to observe or perform any covenant or agreement contained in this Agreement (other than those referred to in [subsections (a), (b) and (d)])])] of this Section) or any other Loan Document or related to any Bank Product Obligation, and such failure shall remain unremedied for 30 days after the earlier of # any officer of the Borrower becomes aware of such failure, or # notice thereof shall have been given to the Borrower by the Administrative Agent or any Lender; or

any Loan Party shall fail to observe or perform any covenant or agreement contained or incorporated by reference in this Agreement (other than those covered by [clause (a) or (b) above]) for thirty days after the earlier of # the first day on which any Loan Party has knowledge of such failure or # written notice thereof has been given to the Borrower by the Bank; or

Borrower shall fail to perform or comply with any other covenant, term, or condition contained in this Agreement or other Loan Documents to which it is a party and such failure shall not have been remedied or waived within 30 days after receipt of notice from Agent of the occurrence thereof; provided, however, that this clause (iv) shall not apply to: # the covenants, terms, or conditions referred to in subsections [(a) and (c) of this Section 7.1]; or # the covenants, terms, or conditions referred to in [clauses (i), (ii) or (iii) above of this subsection (b)];
