Covenant Not to Sue. At no time in the future will either party file or maintain any charge, claim or action of any kind, nature and character whatsoever against any of the Releasees, (except to enforce the Agreement) or cause or knowingly permit any such charge, claim or action to be filed or maintained, in any federal, state or municipal court, administrative agency, arbitral forum or other tribunal, arising out of any of the matters covered by paragraph 5 above. Executive further agrees that he will not initiate, join, participate, encourage, or actively assist in the pursuit of any employment-related legal claims against Company or its parent, subsidiary and affiliated companies, and their respective shareholders, officers, directors, representatives, employees, former employees, agents, attorneys, successors and assigns, whether the claims are brought on Executive's own behalf or on behalf of any other person or entity. Nothing in the paragraph shall preclude Executive from testifying truthfully in any legal proceeding pursuant to subpoena or other legal process.

Except to Sue. At no time in the future will either party fileextent contemplated by Paragraph 4(d) of this Agreement, Executive covenants not to sue or maintain any charge,bring a claim or action of any kind, nature and character whatsoever against any of the Releasees, (except​ Releasees with respect to enforceany Released Claim in any forum for any reason. If Executive sues any ​ Releasee in violation of the Agreement) or cause or knowingly permitforegoing covenant not to sue, Executive agrees that Executive shall pay all reasonable fees, costs and expenses incurred by the ​ Releasees in defending against any such charge, claimsuit or action to be filed or maintained, in any federal, state or municipal court, administrative agency, arbitral forum or other tribunal, arising out of any of the matters covered by paragraph 5 above. Executive further agrees that he will not initiate, join, participate, encourage, or actively assist in the pursuit of any employment-related legal claims against Company or its parent, subsidiary and affiliated companies, and their respective shareholders, officers, directors, representatives, employees, former employees, agents, attorneys, successors and assigns, whether the claims are brought on Executive's own behalf or on behalf of any other person or entity. Nothing in the paragraph shall preclude Executive from testifying truthfully in any legal proceeding pursuant to subpoena or other legal process.claim, including reasonable attorneys’ fees.

Covenant Not To Sue. Employee warrants that Employee has not filed any complaints, charges or claims for relief against the Company with any local, state or federal court or administrative agency that are currently outstanding. Employee further agrees and covenants not to Sue. At nosue, or to bring any claims or charges against, the Company with respect to any matter arising at the time of Employee’s execution of this Agreement or covered by the release set forth in Paragraph 2 above, and not to assert against the future will either party file or maintain any charge, claim or action of any kind, nature and character whatsoever against any of the Releasees, (except to enforce the Agreement) or cause or knowingly permit any such charge, claim or action to be filed or maintained,Company in any federal, stateaction, suit, litigation or municipal court, administrative agency, arbitral forumproceeding any matter arising before Employee’s execution of this Agreement or other tribunal, arising out of any of the matters covered by paragraph 5the release set forth in Paragraph 2 above. Executive further agrees that he will not initiate, join, participate, encourage, or actively assist in the pursuit of any employment-related legal claims against Company or its parent, subsidiary and affiliated companies, and their respective shareholders, officers, directors, representatives, employees, former employees, agents, attorneys, successors and assigns, whether the claims are brought on Executive's own behalf or on behalf of any other person or entity. Nothing in the paragraph shall preclude Executive from testifying truthfully in any legal proceeding pursuant to subpoena or other legal process.

As part of this release, Executive covenants not to Sue. At no timesue the Releasees in any court or to request arbitration against the future will either party file or maintain any charge, claim or action of any kind, nature and character whatsoever againstReleasees on any of the Releasees, (exceptReleased Claims. Further, this provision shall not apply to enforce the Agreement)any non-waivable charges or cause or knowingly permitclaims brought before any governmental agency. With respect to any such charge, claim or actionnon-waivable claims, however, Executive agrees to be filed or maintained, inwaive his right (if any) to any federal, state or municipal court, administrative agency, arbitral forummonetary or other tribunal, arising out of any of the matters covered by paragraph 5 above. Executive further agrees that he will not initiate, join, participate, encourage, or actively assist in the pursuit of any employment-related legal claims against Company or its parent, subsidiary and affiliated companies, and their respective shareholders, officers, directors, representatives, employees, former employees, agents, attorneys, successors and assigns, whether the claims are brought on Executive's own behalf or on behalf of any other person or entity.
