No Order. There shall be no Order.

No Order. No Governmental Entity shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, executive order, decree, injunction, order or other legal restraint (whether temporary, preliminary or permanent) which is in effect and which has the effect of making the Merger, this Agreement, any of the Related Agreements or any of the transactions contemplated hereby or thereby illegal or otherwise prohibiting or preventing the consummation of the Merger, this Agreement, any of the Related Agreements or any of the transactions contemplated hereby or thereby.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Applicable Law that is in effect and has the effect of making the transactions contemplated by this Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions.

Unless otherwise required by the laws and regulations, each payment received by the Facility Agent under Clause 8.3 (Payment by the Borrower) hereof shall be distributed in such order and amount as set out below:

Order Quantities. Each Order shall be for full batches of the Final Product, and Supplier shall not be required to accept Orders for lesser quantities than specified in Annex 5 (Packaging Process). In the event that Customer wishes to order a quantity of the Final Product of less than the Minimum Order Quantities or minimum batch sizes, Customer shall specify such quantity in an Order and Supplier shall notify Customer within ​ of receipt of any such Order of the revised price for the Final Product to reflect the increased costs to Supplier of producing smaller quantities. Customer may confirm the Order and shall pay such revised price for the Final Product, or may increase the quantities set out in the Order to the Minimum Order Quantities.

No Order. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, executive order, decree, injunction, judgment, ruling or any other order (each, an “Order”) which # is in effect and # has the effect of preventing or making the issuance of the Shares pursuant to this Agreement illegal.

DIP Order. The DIP Order shall be in full force and effect and shall not have been vacated, reversed, modified, or amended, unless otherwise consented to by the Administrative Agent in writing and, in the event that such order is the subject of any pending appeal, no performance of any obligation of any party hereto shall have been stayed pending appeal. For the avoidance of doubt, this First Amendment constitutes and is intended to constitute the Administrative Agent’s written consent to any modification or amendment to the DIP Order as provided for in the Order Approving # Bid Procedures; # the Form and Manner of Notice; # the Procedures for Determining Cure Amounts for Executory and Unexpired Leases; and # Granting Related Relief [Dkt. No. 184] previously entered by the Bankruptcy Court.

Purchase Order. Customer shall provide a Purchase Order to GE in accordance with the “PO Date” in Attachment A.

Order Acceptance. Eversana shall: # accept delivery of each shipment of Product ordered by Eversana; # accept each shipment of Product in its entirety from the carrier as delivered; and # not reject or refuse any part of any shipment of Product from the carrier.
