Country-Specific Appendix. The Restricted Stock Units shall be subject to the additional terms and conditions set forth in the appendix attached hereto for Participant’s country, if any. Moreover, if Participant relocates to one of the countries included in the appendix during the life of the Award, the terms and conditions for such country shall apply to Participant, to the extent the Company determines that the application of such terms and conditions is necessary or advisable for legal or administrative reasons. The appendix constitutes part of this Agreement.

Solely for the purpose of satisfying the requirements of Minn. Stat. § 152.0275, Subd. 2(m), to Maple Grove Seller’s knowledge, methamphetamine production has not occurred on the Maple Grove Property. As permitted by Minn. Stat. § 152.0275, Subd. 2(n), Buyer waives and releases Maple Grove Seller from any claim that Buyer may now or hereafter have against Maple Grove Seller based on any failure by Maple Grove Seller to disclose the existence or known status of any methamphetamine production on the Maple Grove Property or to make any other disclosure required under Minn. Stat. § 152.0275.

Country-Specific Provisions. If Participant relocates to one of the countries included in [Exhibit A] to the Restricted Stock Unit Award Agreement for Non-U.S. Participants, the additional terms and conditions for such country will apply to him or her, to the extent the Company determines that the application of such terms and conditions is necessary or advisable for legal or administrative reasons. As a result, Participant should review the specific terms and conditions that apply in the particular country to which he/she transfers. UNDER OREGON LAW, MOST AGREEMENTS, PROMISES AND COMMITMENTS MADE BY LENDER CONCERNING LOANS AND OTHER CREDIT EXTENSIONS WHICH ARE NOT FOR PERSONAL, FAMILY OR HOUSEHOLD PURPOSES OR SECURED SOLELY BY BORROWER’S RESIDENCE MUST BE IN WRITING, EXPRESS CONSIDERATION AND BE SIGNED BY LENDER TO BE ENFORCEABLE.

Provision of the Plan; Country-Specific Provisions. This option is subject to the provisions of the Plan (including the provisions relating to amendments to the Plan), a copy of which is furnished to the Participant with this option. This option also shall be subject to any special terms and conditions set forth in the Appendix for the Participant’s country. Moreover, if the Participant relocates to one of the countries included in the Appendix, the special terms and conditions for such country will apply to the Participant to the extent the Company determines that the application of such terms and conditions is necessary or advisable for legal or administrative reasons. The Appendix constitutes part of this Agreement.

Country Specific Terms. Notwithstanding anything to the contrary herein, the Restricted Units shall be subject to the Country-Specific Terms attached hereto as an Addendum to this Agreement. In addition, if the Grantee relocates to one of the countries included in the Country-Specific Terms, the special terms and conditions for such country will apply to the Grantee to the extent the Company determines that the application of such terms and conditions is necessary or advisable in order to comply with local law or facilitate the administration of the Plan.
