"Swap Agreement Obligations" means all obligations of the Borrowers under each Swap Agreement to which any Borrower is a party and that # is with a counterparty that is the Administrative Agent or any of its Affiliates, # is in effect on the Closing Date with a counterparty that is a Lender or an Affiliate of a Lender as of the Closing Date, or # is entered into after the Closing Date with any counterparty that is a Lender or an Affiliate of a Lender at the time such Swap Agreement is entered into or becomes a Lender or an Affiliate of a Lender after it has entered into such agreement, provided that any such counterparty (other than the Administrative Agent or its Affiliates) executes and delivers a Secured Obligation Designation Notice to the Administrative Agent (with a copy to the Borrowers).

“Secured Swap Obligations” means the due and punctual payment and performance of all obligations of Holdings, the Borrowers, and the Restricted Subsidiaries under each Swap Agreement that # is with a counterparty that is the Administrative Agent or any of its Affiliates, # is in effect on the Effective Date with a counterparty that is a Lender, an Agent or an Affiliate of a Lender or an Agent as of the Effective Date, or # is entered into after the Effective Date with any counterparty that is a Lender, an Agent or an Affiliate of a Lender or an Agent at the time such Swap Agreement is entered into.

“Swap Agreement Obligations” means any and all obligations of the Loan Parties or any Subsidiary, whether absolute or contingent and howsoever and whensoever created, arising, evidenced or acquired (including all renewals, extensions and modifications thereof and substitutions therefor), under # any and all Swap Agreements permitted hereunder with a Person that, at the time of entering into such Swap Agreement, is the Administrative Agent, a Lender or an Affiliate of a Lender, and # any and all cancellations, buy backs, reversals, terminations or assignments of any such Swap Agreement transaction.
