This Agreement may be executed in any number of counterparts, and by different parties hereto in separate counterparts, each of which, when so executed, shall be deemed an original, but all such counterparts shall constitute one and the same instrument. Each Pledgor acknowledges and agrees that a telecopy transmission to the Administrative Agent or any Lender of the signature pages hereof purporting to be signed on behalf of any Pledgor shall constitute effective and binding execution and delivery hereof by such Pledgor.

(a) This Agreement may be executed inby one or more of the parties to this Agreement on any number of separate counterparts, and by different parties hereto in separate counterparts, eachall of which, when so executed,said counterparts taken together shall be deemed an original, but all such counterparts shallto constitute one and the same instrument. Each Pledgor acknowledgesDelivery of an executed signature page of this Agreement by electronic mail or other electronic transmission shall be as effective as delivery of a manually executed counterpart hereof. A set of the copies of this Agreement signed by all the parties shall be lodged with the Borrower and agrees that a telecopy transmission to the Administrative Agent or any Lender of the signature pages hereof purporting to be signed on behalf of any Pledgor shall constitute effective and binding execution and delivery hereof by such Pledgor.Agent.

This Agreement may be executed in any number of counterparts, andcounterparts (and by different parties hereto in separate counterparts,different counterparts), each of which, when so executed,which shall be deemedconstitute an original, but all such counterpartsof which when taken together shall constitute onea single contract. Each Pledgor acknowledgesother Loan Documents constitute the entire contract among the parties relating to the subject matter hereof and agrees that a telecopy transmissionsupersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof. Except as provided in [Section 4.01], this Agreement shall become effective when it shall have been executed by the Administrative Agent or any Lenderand when the Administrative Agent shall have received counterparts hereof that, when taken together, bear the signatures of each of the other parties hereto. Delivery of an executed counterpart of a signature pages hereof purporting topage of this Agreement by telecopy or electronic mail shall be signed on behalfeffective as delivery of any Pledgor shall constitute effective and binding execution and delivery hereof by such Pledgor.a manually executed counterpart of this Agreement.

Counterparts. Each Pledgor acknowledgesTo the extent permitted under applicable law, delivery by telecopier or e-mail of an executed counterpart of a signature page to this Agreement and agrees that a telecopy transmission to theeach other Loan Document shall be effective as delivery of an original executed counterpart of this Agreement and such other Loan Document. The Administrative Agent may also require that any such documents and signatures delivered by telecopier be confirmed by a manually-signed original thereof; provided that the failure to request or any Lender ofdeliver the signature pages hereof purporting to be signed on behalfsame shall not limit the effectiveness of any Pledgor shall constitute effective and binding execution and delivery hereofdocument or signature delivered by such Pledgor.telecopier.
