Legal Opinions of Counsel. The [[Administrative Agent:Organization]] shall have received an opinion or opinions (including, if requested by the [[Administrative Agent:Organization]], local counsel opinions) of counsel for the Loan Parties, dated as of the Third Amendment Effective Date and addressed to the [[Administrative Agent:Organization]] and the [[Parties:Organization]], in form and substance acceptable to the [[Administrative Agent:Organization]].

Legal Opinions of Counsel. The [[Administrative Agent:Organization]] shall have received an opinion or opinions (including, if requested by the [[Administrative Agent:Organization]], local counsel opinions) of counsel for the Loan Parties, dated the Effective Date and addressed to the [[Administrative Agent:Organization]] and the [[Parties:Organization]], in form and substance acceptable to the [[Administrative Agent:Organization]].

Legal Opinion. The Administrative Agent shall have received the legal opinion of DLA Piper LLP, counsel for the Loan Parties, which opinion shall # be dated as of the Second Amendment Effective Date, # be addressed to the Agents and the [[Organization B:Organization]] and # cover such matters relating to the Amendment as the Administrative Agent may reasonably require. Each Loan Party hereby instructs such counsel to deliver such opinions to the Agents and the [[Organization B:Organization]].

Legal Opinion. The Agent shall have received an opinion or opinions of counsel for Borrower, dated the Amendment Effective Date and addressed to the Agent and the [[Organization A:Organization]].

Opinion(s) of Counsel. The Administrative Agent shall have received a favorable opinion of counsel to the Borrower addressed to the Administrative Agent and the [[Organization A:Organization]] with respect to the Borrower and the Loan Documents, reasonably satisfactory in form and substance to the Administrative Agent.

Opinions of Counsel. Receipt by the Administrative Agent of opinions of legal counsel to the Loan Parties addressed to the Administrative Agent and each Lender, dated as of the date of this Amendment.

SECTION # Opinion of Counsel. The Administrative Agent shall have received an opinion, dated the date hereof and addressed to the Administrative Agent and all Lenders, from counsel to the Borrower, in form and substance satisfactory to the Administrative Agent.

The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent, the Issuing Banks and the Lenders and dated the Effective Date) of [[Organization E:Organization]], counsel for the Borrower in form and substance reasonably satisfactory to the Administrative Agent. The Borrower hereby requests such counsel to deliver such opinion.
