Reliance on Documents; Counsel. The Agent shall be entitled to rely upon any Note, notice, consent, certificate, affidavit, letter, telegram, statement, paper or document believed by it to be genuine and correct and to have been signed or sent by the proper person or persons, and, in respect to legal matters, upon the opinion of counsel selected by the Agent, which counsel may be employees of the Agent.

Reliance on Documents; Counsel. The Administrative Agent shall be entitled to rely upon any Note, notice, consent, certificate, affidavit, letter, telegram, statement, paper or document believed by it to be genuine and correct and to have been signed or sent by the proper personPerson or persons,Persons, and, in respect to legal matters, upon the opinion of counsel selected by the Administrative Agent, which counsel may be employees of the Administrative Agent.

Each Agent shall be entitled to relyrely, and shall be fully protected in relying, upon any Note,writing, resolution, notice, consent, certificate, affidavit, letter, cablegram, telegram, telecopy, telex or teletype message, written statement, paperorder or other document or conversation believed by it to be genuine and correct and to have been signedsigned, sent or sentmade by the proper personPerson or persons, and, in respectPersons and upon advice and statements of legal counsel (including counsel to legal matters, upon the opinion of counselAgent), independent accountants and other experts selected by the Agent, which counsel may be employees of thesuch Agent.
