Costs and Expenses. The Loan Parties shall, jointly and severally, pay # all reasonable and documented out-of-pocket expenses incurred by the Administrative Agent and its Affiliates (includingwith respect to legal expenses, limited to the reasonable and documented out-of-pocket fees, charges and disbursements of one primary outside counsel and one local counsel in each relevant jurisdiction for the Administrative Agent), in connection with the syndication of the credit facilities provided for herein, the preparation, negotiation, execution, delivery and administration of this Agreement and the other Loan Documents or any amendments, modifications or waivers of the provisions hereof or thereof (whether or not the transactions contemplated hereby or thereby shall be consummated), and # all reasonable and documented out-of-pocket expenses incurred by the Administrative Agent or any Lender (including thewith respect to legal expenses, limited to the reasonable and documented out-of-pocket fees, charges and disbursements of anyone primary outside counsel and one local counsel in each relevant jurisdiction for the Administrative Agent or any Lender, taken as a whole, in connection with the enforcement or protection of its rights # in connection with this Agreement and the other Loan Documents, including its rights under this Section, or # in connection with the Advances made hereunder, including all such documented out-

Costs and Expenses. The Borrower shall pay to the Lender, on demand, any and all costs and expenses (including, without limitation, reasonable attorneys’ fees and disbursements, court costs, litigation and other expenses) incurred or paid by the Lender in establishing, maintaining, protecting or enforcing any of the Lender’s rights or the Obligations, including, without limitation, any and all such costs and expenses incurred or paid by the Lender in defending the Lender’s security interest in, title or right to the Collateral or in collecting or attempting to collect or enforcing or attempting to enforce payment of the Obligations.

Costs and Expenses. The Parties shall pay their own respective legal and other costs and expenses relating to this Agreement. However, in the event of legal action between the Parties relating to this Agreement, the Party against which the legal action is resolved shall reimburse the other Party for all related legal and other costs and expenses reasonably incurred by the other Party.

Costs and Expenses. The Servicer shall # reimburse the Secured Parties, the Agents and the Backup Servicer for all reasonable fees, costs and expenses incurred by or on behalf of the Secured Parties, the Agents or the Backup Servicer in connection with the foregoing actions set forth and described in this [[Section 7.03(k) and (ii)])]])], in each case, promptly upon receipt of a written invoice therefor, which invoices in any one year may not exceed, in the aggregate, ​ for all reasonable fees, costs and expenses described in [clauses (i) and (ii)])] of this sentence (unless an Event of Default has occurred, following which such expenses will not be so capped).

Costs and Expenses. The Borrower agrees to pay # all reasonable and documented out-of-pocket costs and expenses of the Administrative Agent (including the reasonable and documented fees and expenses of Cahill Gordon & Reindel LLP, counsel to the Administrative Agent) in connection with the preparation, execution, delivery and administration of this First Amendment, the other instruments and documents to be delivered hereunder and related matters with respect to the Loan Documents and transactions contemplated hereby.

Costs and Expenses. All expenses incurred in connection with this Agreement and the transactions contemplated hereby shall be paid by the party incurring such expenses.

Costs and Expenses; Indemnification. Agent may incur and pay Lender Group Expenses to the extent Agent reasonably deems necessary or appropriate for the performance and fulfillment of its functions, powers, and obligations pursuant to the Loan Documents, including court costs, attorneys fees and expenses, fees and expenses of financial accountants, advisors, consultants, and appraisers, costs of collection by outside collection agencies, auctioneer fees and expenses, and costs of security guards or insurance premiums paid to maintain the Collateral, whether or not Borrowers are obligated to reimburse Agent or Lenders for such expenses pursuant to this Agreement or otherwise. Costs, Fees and Expenses. In consideration of Agent’s and each Lender’s agreement to enter into this Amendment, Borrowers shall be responsible for the payment of all reasonable costs, fees and expenses of Agent’s counsel incurred in connection with the preparation of this Amendment and any related documents. All such costs, fees and expenses shall be paid with proceeds of Revolving Loans.

Collection Costs and Expenses. The Borrower shall pay all reasonable costs, fees and expenses incurred by the Lender (including reasonable attorneys’ fees) in collecting or attempting to collect any amount that becomes due hereunder or in seeking legal advice with respect to such collection on the occurrence of an Event of Default until cured, if cured and if Lender accepts the cure.

Closing Costs and Expenses. The modifications contemplated in this Amendment, including the execution, delivery and, where applicable, the recording of the Additional Loan Documents, will be made without expense to ​. Borrower agrees to pay all expenses incurred by ​ incidental to the closing of all of the transactions contemplated herein, including reasonable fees of attorneys employed by ​, taxes (including any interest and penalties) whether originally thought to be due or not, and recording fees, if any.
