Costs and Expenses. The ​ hereby reaffirms its agreement under the Loan Agreement to pay or reimburse the ​ on demand for all reasonable costs and expenses incurred by the ​ in connection with the Loan Documents, including without limitation all reasonable fees and disbursements of legal counsel. Without limiting the generality of the foregoing, the ​ specifically agrees to pay all reasonable fees and disbursements of counsel to the ​ for the services performed by such counsel in connection with the preparation of this Amendment and the documents and instruments incidental hereto.

The ​ hereby reaffirms its agreement underagrees to pay promptly following receipt of written invoices describing in reasonable detail # the reasonable fees, expenses and disbursements of the ​’s external counsel incurred in connection with the administration or interpretation of the Loan Documents and other instruments mentioned herein, the negotiation of this Agreement to payand the closing hereunder, and amendments, modifications, approvals, consents or reimbursewaivers hereto or hereunder, # the ​ on demand for all reasonable costsfees, expenses and expenses incurred bydisbursements of the ​ in connection with the administration or interpretation of the Loan Documents,Documents and other instruments mentioned herein, and # all reasonable out of pocket expenses including without limitation allreasonable external attorneys’ fees and costs incurred by the ​ (provided that the ​ shall only be responsible for the reasonable fees and disbursementsexpenses of legal counsel. Without limiting the generalityone counsel engaged to represent all such Parties taken as a whole, unless any actual or potential conflict of the foregoing,interest between such Parties makes it inappropriate for one counsel to represent all such Parties, in which event the ​ specifically agrees to pay allshall be responsible for the reasonable fees and disbursementsexpenses of one additional counsel tofor each group of affected Parties similarly situated taken as a whole) in connection with # the enforcement of or preservation of rights under any of the Loan Documents or the ​ Guarantee against the ​ or ​, as applicable, or the administration thereof after the occurrence of a Default, # defending against any action brought by the ​ or its affiliates against the ​ forarising under or relating to any of the services performedLoan Documents or the application of the ​ Guarantee with respect thereto unless the ​ or its affiliates are the prevailing party in such action, and # any litigation, proceeding or dispute brought by such counselthe ​ against the ​ or ​ (whether arising hereunder or otherwise in connection with the preparationtransactions contemplated hereby) in which the ​ is the prevailing party (but without derogation to the provisions of [Section 9.04]). The covenants of this Amendment and[Section 9.03] shall survive payment or satisfaction of payments of amounts owing with respect to the documents and instruments incidental hereto.Note as may be issued hereunder.
