Except as would not reasonably be expected to be material, ​ is not a party to any agreement or arrangement with (or otherwise obligated to) any person which obligates ​ to repurchase from any such person any Loan or other asset of ​, unless there is a material breach of a representation or covenant by ​, and none of the agreements pursuant to which ​ has sold Loans or pools of Loans or participations in Loans or pools of Loans contain any obligation to repurchase such Loans or interests therein solely on account of a payment default by the obligor on any such Loan.

Preliminary Total Development Cost Estimate. Based upon the ​’s Work described in [Schedule 1] and the ​ Improvement Allowance (defined below) for the ​ Improvements, ​ has prepared an estimate of the Total Development Costs (as defined in Exhibit J) for the Premises (the “Preliminary Total Development Cost Estimate”), which is set forth on [Schedule 3] attached hereto and includes detailed hard and soft cost budgets for the ​’s Work and the ​ Improvement Allowance.

Cost of Tenant’s ES Fitout. Except for the ES Allowance (hereinafter defined), all of Tenant’s ES Fitout shall be performed at Tenant’s sole cost and expense, and shall be performed in accordance with the provisions of the Lease (including, without limitation, [Article 11]). Tenant shall pay to Landlord, as additional rent, within ten (10) days after demand therefor, any costs or expenses incurred by Landlord (which shall be reasonably based on Tenant's usage) for the use of elevators and/or hoisting in connection with the performance of Tenant’s ES Fitout.

Technology Transfer Fee and Cost. Denali shall pay to ​ within fifteen (15) days following receipt of an invoice and notice of the completion of the Technology Transfer Plan from ​, a one-time payment of one million five hundred thousand dollars (U.S. $1,500,000).

Any bonus pool funding is established at the enterprise level and may be allocated at different levels to lines of business based on performance. Lines of business are allocated incentive compensation pools used as guidelines to determine the appropriate amount of aggregate incentive compensation that is paid at the business level. Final allocations are subject to adjustments for risk performance. Establishment of the pool is not a guarantee that Awards will be paid to Participants nor does it guarantee the amount of any Award payable to Participants. Since Awards under the Plan are discretionary, lines of business may pay out all or a portion of their allocated pools, subject to the terms and conditions of the Plan.

Predatory Lending Regulations; High Cost Loans. No Mortgage Loan # is classified as High Cost Mortgage Loans or # is subject to [Section 226.32] of Regulation Z or any similar state law (relating to high interest rate credit/lending transactions). No Mortgagor

Consulting Fee/Cost and Expenses/Payment. The Company and Consultant agree:

Rapid7 agrees to pay for the movement of your household goods, up to two (2) vehicles, up to one month of storage (if necessary), and packing and unpacking of goods from [[Address A:Address]] to your final destination in the Boston area. The Company will select a pre-approved moving vendor; once the moving vendor is selected, you may make arrangements directly with the selected vendor for your move. It is important to note that the Company will not pay for the transport of those items not considered as part of a standard inventory of household goods (e.g., boats, trailers, campers, tractors, large animals, industrial equipment and above-ground swimming pools).

“Cost of goods” means the cost to manufacture the ​ Product plus the cost to deliver the ​ Product to the customer. (PTSS anticipates that its manufacturing partner will send the units directly to the customer and those costs will be added to the cost of goods to PTSS.)
