Corrections. As a result of the uncertainty in the application of Code Section 280G at the time of the initial determination by the Auditor hereunder, it is possible that payments under this Plan will have been made which should not have been made (“Overpayment”) or that additional payments which will have not been made could have been made (“Underpayment”), in each case, consistent with the calculation of the Reduced Amount hereunder. In the event that the Auditor, based upon the assertion of a deficiency by the Internal Revenue Service against the Company or the Officer which the Auditor believes has a high probability of success, determines that an Overpayment has been made, any such Overpayment shall be treated for all purposes as a loan to the Officer which the Officer shall repay together with interest at the applicable Federal rate provided for in Code Section 7872(f)(2)(A); provided, however, that no amount shall be payable to the Officer if and to the extent such payment would not reduce the amount which is subject to the excise tax under Code Section 4999. In the event that the Auditor, based upon controlling precedent, determines that an Underpayment has occurred, any such Underpayment shall be promptly paid to or for the benefit of the Officer together with interest at the applicable Federal rate provided for in Code Section 7872(f)(2)(A).

Corrections/Adjustments. The Parties agree to develop, through an Operating Committee or their Boards of Directors, mutually acceptable reasonable processes and procedures for conducting any reviews and making adjustments thereof. Payments will then be promptly billed and paid.

Generally Released Error Corrections and Updates. If Kx generally makes available any Error Corrections or Updates to the Licensed Software while ​ is receiving Maintenance Services, Kx will notify ​ of such Error Corrections and Updates by posting a message on the k4 listbox and will make the Error Corrections or Updates available to ​ without charge by download from the Kx Website.

Implementation of Error Corrections and Updates. ​ also agrees to implement within a reasonable time all Error Corrections and Updates provided by Kx under this OEM Agreement, provided that such Error Corrections and Updates do not materially adversely affect the version of the Licensed Software used by ​ for run-time operations.

To make corrections and recover the overpayment of any benefits;

Errors. At any time AT&T may correct any error made under the Plan without prejudice to AT&T. Such corrections may include, among other things, changing or revoking an issuance of an Award.

The secretary shall provide each Party with a copy of the minutes of the Operating Committee meeting within fifteen (15) Business Days after the end of the meeting. Each Party shall have fifteen (15) Days after receipt of such minutes to give notice to the secretary of its objections and corrections to the minutes. A failure to give notice specifying objections and corrections to such minutes within said fifteen (15) Day period shall be deemed to be approval of such minutes. In any event, the votes recorded under clause 5.11 shall take precedence over the minutes described above.

Reference is made to Contract # DOC-14-054 (the "Contract") between the Commonwealth of Virginia, through its Department of Corrections ("Commonwealth") and SecureAlert, a Utah corporation located at 150 West Civic Center Drive, Suite 100, Sandy, Utah 84070-4263 (the "Contractor").
