I understand that Kodak is an ethical company and that I am required to adhere to Kodak’s policies and procedures regarding ethical business practices, including, but not limited to, Kodak’s conflict of interest policy and policies concerning the protection of Kodak Confidential Information. I understand that my failure to do so constitutes a breach of this Agreement.

Business Conduct. Each party will conduct its respective business activities with integrity, and in full compliance with all applicable Laws relating to business conduct. Without limiting the foregoing, each party will:

Conduct of Business. Such Borrower will carry on and conduct its business in substantially the same manner and in substantially the same fields of enterprise as it is presently

Conduct of Business. Such Servicer will # carry on and conduct its business in substantially the same manner and in substantially the same fields of enterprise as it is presently conducted and # do all things necessary to remain duly incorporated, validly existing and in good standing as a domestic corporation in its jurisdiction of incorporation and # maintain all requisite authority to conduct its business in each jurisdiction in which its business is conducted, in each such case, if the failure to do so would reasonably be expected to have a Material Adverse Effect.

Powers; Conduct of Business. The Borrower and each Qualified Borrower shall remain qualified, and shall cause each of its Subsidiaries to qualify and remain qualified, to do business and maintain its good standing in each jurisdiction in which the nature of its business and the ownership of its Property requires it to be so qualified and in good standing, except where the failure to remain so qualified is not likely to have a Material Adverse Effect.

Conduct of Business. From the date of this Agreement through the earlier of the Closing or the termination of this Agreement in accordance with its terms, except # as set forth on [Schedule 5.1] or # as consented to in writing by Buyer in advance (such consent not to be unreasonably withheld or delayed), the Company shall and shall cause its Subsidiaries, and Sellers shall cause the Company and its Subsidiaries to, # conduct the business of the Company and its Subsidiaries in the Ordinary Course and # use Reasonable Best Efforts to maintain and preserve the business of the Company and its Subsidiaries, retain their officers, employees and consultants and maintain and preserve their relationships with customers, suppliers, regulatory authorities and others having business relationships with the Company and its Subsidiaries. Without limiting the generality of the foregoing, and # except as set forth on [Schedule 5.1] or # as otherwise consented to in writing by Buyer in advance (such consent not to be unreasonably conditioned, withheld or delayed), from the date of this Agreement through the earlier of the Closing or the termination of this Agreement in accordance with its terms, the Company shall not and shall cause its Subsidiaries not to, and Sellers shall cause the Company and its Subsidiaries not to:

Corporate Powers; Conduct of Business. The Company shall, and shall cause each of its Significant Subsidiaries to, qualify and remain qualified to do business in each jurisdiction in which the nature of its business requires it to be so qualified and where the failure to be so qualified will have or would reasonably be expected to have a Material Adverse Effect.
