Each of the parties hereto shall execute and deliver any additional certificate, instruments and other documents, and take any additional actions, as may be reasonably necessary or appropriate to carry out and effectuate the purpose and intent of this Agreement.

Each of the parties hereto shall take such further action and execute and deliver any additional certificate, instruments and other documents, and take any additional actions,such further documents as may be reasonably necessary or appropriate to carry out the provisions and effectuate the purpose and intentpurposes of this Agreement.

Each of the parties hereto shall execute and deliver any and all additional certificate, instrumentspapers, documents, and other documents,assurances, and takeshall do any additional actions, as may beand all acts and things reasonably necessary or appropriatein connection with the performance of their obligations hereunder and to carry out and effectuate the purpose and intent of this Agreement.

Each of the parties heretoparty shall do and perform, or cause to be done and performed, all such further acts and things, and shall execute and deliver any additional certificate,all such other agreements, certificates, instruments and documents, as the other documents, and take any additional actions, asparty may be reasonably necessary or appropriaterequest in order to carry out the intent and effectuateaccomplish the purpose and intentpurposes of this Agreement.Agreement and the consummation of the transactions contemplated hereby.

Each of theFurther Assurances. All parties hereto shall execute and deliver any additional certificate,such other instruments and do such other documents, and take any additional actions,acts as may be reasonably necessary or appropriate to carry out the intent and effectuate the purpose and intentpurposes of this Agreement.

EachFrom time to time after the date of execution hereof, the parties shall take such further action and execute such further documents, assurances and certificates as either party reasonably may request of the parties hereto shall execute and deliver any additional certificate, instruments and other documents, and take any additional actions, as may be reasonably necessary or appropriate to carry out and effectuate the purpose and intentpurposes of this Agreement.

Further Assurances. Each of the parties heretoparty shall execute and deliver any additional certificate,such further documents and instruments and other documents, and take any additional actions,such further actions as may be reasonably necessary or appropriaterequested by the other party to carry out and effectuate the purpose and intentpurposes of this Agreement.

Further Agreements. Each of the partiesparty hereto shallagrees to execute and deliver anyto the other parties such reasonable and appropriate additional certificate,documents, instruments or agreements (in form and other documents, and take any additional actions,substance reasonably satisfactory to the executing party) as may be reasonably necessary or appropriate to carry out and effectuate the purpose and intent of this Agreement.

The parties hereto shallagree to execute and deliver any additional certificate, instrumentsall such other papers and documents and to take such other documents, and take any additional actions, asfurther actions that may be reasonably necessary or appropriate to carry out and effectuate the purpose and intentterms of this Agreement.

Further Assurances. Each of the parties heretoParty shall executeexecute, acknowledge and deliver any additional certificate,such further documents and instruments and perform such other documents, and take any additional actions,acts as may be reasonably necessary or appropriate in order to carry out and effectuate the purposepurposes and intent of this Agreement.
