Cooperation. Subject to Employee's other personal and professional obligations and on reasonable notice and at reasonable times, Employee will cooperate with Employer and its counsel in connection with any investigation, administrative or regulatory proceeding or litigation relating to any matter in which Employee was involved or of which Employee has knowledge as a result of Employee's employment with Employer and/or any Released Party or Released Parties.

Employee further agrees to maintain in strict confidence any information or knowledge regarding current and/or any Released Partyfuture claims against or litigation or administrative hearings involving Released Parties. Employee agrees to communicate with any party adverse to Released Parties, or with a representative, agent or legal counsel for any such party, concerning any such pending or future claims or litigation or administrative hearing solely though legal counsel for Released Parties.

SubjectFrom and after the termination of Employee’s services for the Company, Employee agrees, upon the Company’s request, to Employee's other personal and professional obligations and on reasonable notice and at reasonable times, Employee willreasonably cooperate with Employer and its counsel in connection with any investigation, administrativelitigation, arbitration or regulatory proceeding regarding events that occurred during the time that Employee is retained by the Company or litigation relatingits affiliates. Employee will make himself reasonably available to consult with Company’s counsel, to provide information and to appear to give testimony. The Company will, to the extent permitted by law, reimburse Employee for any matterreasonable out-of-pocket expenses that Employee incurs in whichextending such cooperation, so long as the Employee was involved orprovides the Company with advance written notice of which Employee has knowledge as a resultEmployee’s request for reimbursement and provides satisfactory documentation of Employee's employment with Employer and/or any Released Party or Released Parties.the expenses.

Except as a result of Employee's employment with Employerrequired by law and/or related to an investigation by a government agency, Employee will not in any Released Partyway cooperate or Released Parties.assist any person or entity in any matter which is adverse to the Company. Employee understands that nothing in this Agreement shall limit Employee’s rights under applicable law to provide truthful information to any governmental entity or to file a charge with or participate in an investigation conducted by any governmental entity or from cooperating with any government investigation, making a truthful statement or complaint to law enforcement or a government agency, testifying under oath to law enforcement or a government agency, or from complying with a properly-served and lawfully-issued subpoena or similar order issued by a government agency or court of competent jurisdiction.
