Non-Disparagement. During the Employment Term and thereafter, Executive shall not disparage any Company Entity, or any Company Entity directors, officers, employees, products or services. and shall take no action which is intended, or would reasonably be expected, to harm any Company Entity or Company Entity directors, officers, employees, products or services or their reputation or which would reasonably be expected to lead to unwanted or unfavorable publicity to a Company Entity. The parties agree and acknowledge that this non-disparagement provision is a material term of this Agreement, the absence of which would have resulted in the Company refusing to enter into this Agreement.

Notwithstanding the foregoing, nothing in this Agreement.Agreement shall preclude either Executive or the Company from making truthful statements or disclosures that are required by applicable law, regulation, or legal process.

Notwithstanding the foregoing, disclosure of truthful information as part of any government investigation or lawsuit shall not disparage any Company Entity, or any Company Entity directors, officers, employees, products or services. and shall take no action which is intended, or would reasonably be expected, to harm any Company Entity or Company Entity directors, officers, employees, products or services or their reputation or which would reasonably be expected to lead to unwanted or unfavorable publicity todeemed a Company Entity. The parties agree and acknowledge that this non-disparagement provision is a material termbreach of this Agreement, the absence of which would have resulted in the Company refusing to enter into this Agreement.Section 6(c).

Notwithstanding the foregoing, nothing in this [Section 5.5] shall prevent any party from discussing another party in connection with a performance evaluation, communicating privately with their attorneys, accountants and other advisors, providing truthful testimony in connection with any legal proceeding, from taking any action which is intended,to enforce or would reasonably be expected, to harm any Company Entity or Company Entity directors, officers, employees, products or services ordefend their reputation or which would reasonably be expected to lead to unwanted or unfavorable publicity to a Company Entity. The parties agree and acknowledge that this non-disparagement provision is a material term ofrights under this Agreement, the absence of which would have resulted in the Company refusingor require any party to enter into this Agreement.violate any law or subpoena.

Nothing in the paragraph shall preclude either party from responding truthfully to inquiries made in connection with any legal or governmental proceeding pursuant to subpoena or other legal process.
