Executive agrees not to make disparaging, critical or otherwise detrimental comments to any person or entity concerning the Company, its officers, directors, trustees, and employees or the services or programs provided or to be provided by the Company and the Company agrees not to make any disparaging, critical or otherwise detrimental comments to any person or entity concerning Executive.

Executive agrees that Executive will not topublicly make or publish any adverse, disparaging, criticaluntrue, or otherwise detrimental comments tomisleading statement or comment about the Company or any person or entity concerning the Company,of its officers, directors, trustees, and employeesemployees, or the services or programs provided or to be provided by the Company and theagents. The Company agrees to instruct its directors, officers, and senior management not to publicly make or publish any adverse, disparaging, criticaluntrue, or otherwise detrimental comments to any personmisleading statement or entity concerningcomment about Executive.

Executive agrees not to make disparaging, criticalany statements, written (including electronically) or otherwise detrimental comments to any personverbal, or entity concerning the Company, its officers, directors, trustees, and employeescause or the services or programs provided or to be provided by the Company and the Company agrees notencourage others to make any disparaging, criticalstatements, written (including electronically) or otherwise detrimental commentsverbal, that defame, disparage or in any way criticize the personal or business reputation, practices, or conduct of ​, or any of ​’s directors, managers, officers, employees, agents or representatives. Executive acknowledges and agrees that this prohibition extends to statements, written (including electronically) or verbal, made to anyone, including but not limited to the general public, the news media, investors, potential investors, any person or entity concerning Executive.board of directors,

Executive acknowledges and agrees that this prohibition extends to statements, written (including electronically) or verbal, made to anyone, including but not limited to the general public, the news media, investors, potential investors, any personboard of directors, industry analysts, competitors, strategic partners, vendors, customers or entity concerning Executive.​ employees, agents or representatives (past and present), however, nothing set forth in this [Section 11(c)] prohibits Executive from communicating, without notice to or approval by ​, with any United States Federal Government agency about a potential violation of a United States Federal law or regulation.

Executive agrees not to make disparaging, criticaldisparage the Company or otherwise detrimental comments to any person or entity concerning the Company,HoldCo, and its and their officers, directors, trustees,employees, shareholders, members and employees or the services or programs provided oragents, in any manner likely to be provided by the Company and the Company agrees notharmful to make any disparaging, criticalthem or otherwise detrimental comments to any persontheir business, business reputation, or entity concerning Executive.personal reputation.

Executive agrees that he will not to make disparaging, criticalany statements, written or otherwise detrimental comments to any personverbal, that are derogatory or entitydisparaging concerning the Company, itsor concerning any current or former directors, officers, directors, trustees, andor employees of the Company. The Company similarly agrees that it will not make any statements, written or verbal, that are derogatory or disparaging concerning Executive or his employment with the services or programs provided or to be providedCompany. Executive further agrees that any reasonable attorney’s fees incurred by the Company and the Company agrees not to makein recovering any disparaging, critical or otherwise detrimental comments to any person or entity concerningsum due from Executive as a consequence of his breach of this Agreement shall be paid by Executive.

Executive agrees not to willingly or knowingly make disparaging, criticalany statement or criticism which would reasonably be expected to cause the Company’s customers, suppliers, clients or directors or officers embarrassment, humiliation or otherwise detrimental commentscause or contribute to any personthe Company's customers, suppliers, clients or entity concerningdirectors or officers being held in disrepute by the public or by the clients, customers, suppliers or employees of the Company, its officers, directors, trustees, and employees or the services or programs provided or to be providedexcept as required by the Company and the Companylaw. Executive agrees not to willingly or knowingly make any disparaging, criticalstatement or criticism which would reasonably be expected to cause the Company embarrassment, humiliation or otherwise detrimental commentscause or contribute to any personthe Company being held in disrepute by the public or entity concerning Executive.the clients, customers, suppliers or employees of the Company.
