Further Assurances. Seller agrees, at any time and from time to time following the date hereof, upon the request of Buyer, that Seller will do, execute, acknowledge and deliver, or cause to be done, executed, acknowledged and delivered, all such further acts, deeds, assignments, transfers, conveyances, powers of attorney, assurances or other acts and things as may reasonably be required in order more fully to vest in and confirm to Buyer title to and possession of the Shares or in order to more fully effectuate the transactions contemplated hereby.

Subject to the terms and from time to time following the date hereof,conditions of this Agreement, upon the request of either Seller or Buyer, that Sellereach of the Parties will do, execute, acknowledge and deliver, or cause to be done, executed, acknowledged and delivered,deliver all such further acts, assurances, deeds, assignments, transfers, conveyances, powers of attorney, assurances orconveyances and other actsinstruments and thingspapers as may be reasonably be required in order more fullyor appropriate to vest in and confirm to Buyer title to and possession of the Shares or in order to more fully effectuatecarry out the transactions contemplated hereby.by this Agreement.

Further Assurances. Seller agrees,(and its successors in interest) agrees that, at any time and from time to time followingafter the date hereof,Closing, it will, upon the request and cost of Buyer, that Seller will do, execute, acknowledge and deliver, or cause to be done, executed, acknowledged and delivered,Purchaser, do all such further acts, deeds, assignments, transfers, conveyances, powers of attorney, assurances or other acts and things as may be reasonably be required to further transfer, assign and confirm to Purchaser or to aid and assist in order more fullythe gaining of possession by Purchaser of or maintaining any of the Purchased Assets, or to vest in and confirm to BuyerPurchaser title to and possessionthe Purchased Assets free of the Sharesall Encumbrances, except Permitted Encumbrances, arising from any action by Seller or in order to more fully effectuate the transactions contemplated hereby.its Affiliates.

Section # Further Assurances. Seller agrees, at any time andUpon request from time to time following the date hereof, upon the request of Buyer, thattime, Seller will do, execute, acknowledge and deliver,​ shall execute or cause to be done, executed, acknowledgedexecuted and delivered, alldelivered such further acts, deeds, assignments, transfers, conveyances, powers of attorney, assurances orother documents and instruments and shall do such other acts and things asthat may be reasonably be required in order more fullynecessary or desirable, to vest in and confirm to Buyer title to and possession of the Shares or in order to more fully effectuateconsummate the transactions contemplated hereby.hereby and to carry out the intent of this Agreement.
