Each Party shall promptly notify the other Party in writing of any alleged or threatened infringement of the MTEM Licensed Patents, BMS Patents, or Joint Collaboration Patents in any jurisdiction in the Territory of which such Party becomes aware by reason of the making, using, offering to sell, selling or importing of any Licensed Product or any product Directed to a Collaboration Target that competes with a Licensed Product (“Competitive Infringement”).
