Notice. Any notice required by the terms of this Agreement shall be given in writing. It shall be deemed effective upon # personal delivery, # deposit with the United States Postal Service, by registered or certified mail, with postage and fees prepaid, # deposit with Federal Express Corporation, with shipping charges prepaid or # deposit with any internationally recognized express mail courier service. Notice shall be addressed to the Company at its principal executive office and to the Transferee at the address that he or she most recently provided to the Company in accordance with this [Subsection (b)].

In the case of the Executive, mailed notices shall be addressed to him or her at the home address which he or she most recently communicated to the Company in writing. In the case of the Company, mailed notices shall be addressed to its corporate headquarters, and all notices shall be directed to the attention of its Secretary.

Any notice given electronically shall be deemed effective on the date of transmission.
