Effective as of the Effective Date, [Section 3.2] of the Agreement is amended to include the following sentence at the end thereof which shall begin immediately following the last sentence of the current [Section 3.2]:

Effective as of the Effective Date, [Section 6.1(c)(ii)(B)] of the Existing Credit Agreement is hereby amended and restated in its entirety to read as follows:

each of the Class A Interests held by the CO Members has been cancelled and extinguished without any further action on the part of the Company or the holder thereof;

including, without limitation, any of the foregoing that are covered by or disclosed in the Baylor Target Patent Rights, and/or described in any of the following disclosures:

Effective as of the Effective Date, [Section 2.1] of the Agreement is amended and restated to read as follows:

none of the [[Dutch Borrower:Organization]] Entities manufactures pharmaceutical products and each [[Dutch Borrower:Organization]] Entity is in compliance in all material respects with all applicable rules, regulations and other requirements of the FDA, the FTC, OSHA the Consumer Product Safety Commission, the U.S. Customs Service and the U.S. Postal Service and all other state, federal or foreign regulatory authorities, or jurisdictions in which any of the [[Dutch Borrower:Organization]] Entities do business or distribute and market products, and

developed, discovered, invented, conceived of, reduced to practice or created after the Effective Date;

Deliverables as of the Effective Date. As of the Effective Date, the parties hereto acknowledge and agree that the following has occurred:
