“Control Investment Affiliate” means, as to any Person, any other Person that # directly or indirectly, is in Control of, is Controlled by, or is under common Control with, such Person and # is organized by such Person primarily for the purpose of making equity investments in one or more companies.

“Controlled Investment Affiliate” means, as to any Person, any other Person which # directly or indirectly is controlled by such Person and # is organized by such Person primarily for the purpose of making equity or debt investments in one or more companies (but is not a portfolio company).

“Controlled Investment Affiliate” means, as to any Person, any other Person, other than the Investors, which directly or indirectly is in control of, is controlled by, or is under common control with such Person and is organized by such Person (or any Person controlling such Person) primarily for making direct or indirect equity or debt investments in the Borrower and/or other companies.

“Controlled Investment Affiliate” means, as to any Person, any other Person, other than the Investors, which directly or indirectly is in control of, is controlled by, or is under common control with such Person and is organized by such Person (or any Person controlling such Person) primarily for making direct or indirect equity or debt investments in the Lead Borrower and/or other companies.

“Controlled Investment Affiliate” means, as to any future, present, or former employee, director, officer or consultant of the Borrower and its Subsidiaries, any other Person, which directly or indirectly is in Control of, is Controlled by, or is under common Control with such Person and is organized by such Person (or any Person Controlling such Person) primarily for making direct or indirect equity investments in the Borrower or its Subsidiaries.
