Warranties and Representations Regarding Contracts. With respect to the Contracts included in the Collateral:

No Materially Adverse Contracts, Etc. Neither the Company nor any of its Subsidiaries is subject to any charter, corporate or other legal restriction, or any judgment, decree, order, rule or regulation which in the judgment of the Company’s officers has or is expected in the future to have a Material Adverse Effect. Neither the Company nor any of its Subsidiaries is a party to any contract or agreement which in the judgment of the Company’s officers has or is expected to have a Material Adverse Effect.

Extension or Amendment of Contracts. The Servicer will not, except as otherwise permitted in [Section 7.03(c)(i)], extend, amend or otherwise modify the terms of any Contract.

the Easements;

all Contracts of Sellers other than the Assumed Contracts (the “Excluded Contracts”), together with all claims and causes of actions with respect to or arising in connection with such Excluded Contracts;

“Assumed Contracts” means the Sellers’ Contracts and the Assumed Leases.

Foreign Exchange Contracts. Execute spot or forward foreign exchange contracts.

The foregoing Contracts are collectively referred to as the “Material Contracts”.

Copies of all existing service contracts and other contracts relating to the Property;

Contracts (the "Non-Assumed Property Contracts"). Prior to and after the Closing, Seller shall be responsible for all liabilities and obligations of the Operating Companies under the Non-Assumed Property Contracts.
