Independent Contractor. In its performance hereunder, Consultant and its agents shall be an independent contractor. Consultant shall complete the services required hereunder according to its own means and methods of work, shall be in the exclusive charge and control of Consultant and shall not be subject to the control or supervision of Client. Client acknowledges that nothing in this Agreement shall be construed to require Consultant to provide services to Client at any specific time, or in any specific place or manner, unless otherwise mutually agreed.

Independent Contractor. The Consultant agrees to perform his services hereunder as an independent contractor and not as an employee of the Client, its subsidiaries or affiliates.

Independent Contractor. Consultant is an independent contractor and nothing in this Agreement will be construed as establishing an employment or agency relationship between Company and Consultant. Consultant has no authority to bind Company by contract or otherwise. Consultant will perform Services under the general direction of Company, but Consultant will determine, in Consultant’s sole discretion, the manner and means by which Services are accomplished, subject to the requirement that Consultant will at all times comply with applicable law.

This Agreement establishes an “independent contractor” relationship between Consultant and Client. Consultant reserves the right to determine the method, manner and mean by which the services will be performed. Consultant is not required to perform the services during a fixed hourly or daily time and if the services are performed at the Client’s premises, then Consultant’s time spent at the premises is to be at the discretion of the Consultant; subject to the Client’s normal business hours and security requirements.

Independent Contractor Status. Consultant will at all times be an independent contractor and nothing in this Agreement will be construed as creating the relationship of principal and agent, or employer and employee, between the Company and Consultant. Except as otherwise agreed to by the Company, Consultant will have no authority to hire any persons on behalf of the Company, and any and all persons whom Consultant may employ will be deemed to be solely the employees of Consultant. Consultant will have control and management of the services provided pursuant to this Agreement.

Independent Contractor. This Agreement does not create an employer-employee relationship between the Company and Consultant. It is the parties’ intention that Consultant will be an independent contractor and not the Company’s employee for any purpose. Consultant will retain sole and absolute discretion and judgment in the manner and means of carrying out Consultant’s activities and responsibilities hereunder. Consultant and Company agree that Consultant’s business is a separate and independent enterprise from that of the Company, that Consultant has a full opportunity to find other business, and that Consultant will utilize a high level of skill necessary to perform Consultant’s Duties. Consultant does not have the authority to enter into any contract on behalf of the Company or otherwise to bind the Company to any agreement unless expressly authorized in writing to do so, and the Company will not be liable for any obligation incurred by Consultant, except as otherwise provided herein.
