Expense Reimbursement; Continuing Education. The Employer shall promptly reimburse Executive, upon submission of appropriate documentation, for reasonable business expenses, including travel and reasonable entertainment expenses, incurred by Executive in accordance with the expense reimbursement policies of the Employer in effect from time to time. In addition, subject to pre-approval by the President and Chief Executive Officer of Penns Woods and JSSB, the Employer shall pay Executive’s cost of travel and lodging relating to Executive’s attendance at trade conferences (with total annual attendance days not to exceed 10 days in the aggregate, unless otherwise approved in advance by the Chief Executive Officer of Penns Woods).

Guarantee of Payment; Continuing Guarantee. The guarantee given by ​ in this Article IV is a guaranty of payment and not of collection, is a continuing guarantee, and shall apply to all Obligations, whenever arising.

Except as otherwise specifically set forth in this Amendment, all other terms of the Agreement shall remain unchanged and continue in full force and effect.

Continuing Enforceability; Conflict Between Documents. If there is any conflict between the terms of this Agreement, on the one hand, and the Note or any other Transaction Document, on the other hand, the terms of this Agreement shall prevail.

Binding Effect. This Agreement shall become effective when it shall have been executed by each of the parties hereto and thereafter shall be binding upon and inure to the benefit of each of the parties hereto and their respective successors and assigns, except that the Loan Parties shall not have the right to assign their rights hereunder or any interest herein without the prior written consent of the Administrative Agent, ​ and ​.
