For avoidance of doubt, an Eligible Equity Award that is subject to vesting based on the achievement of one or more performance metrics as well as continued service will not constitute a “Time-Based Award” unless achievement of the performance metrics applicable to such Eligible Equity Award has been determined as of the Retirement Date.

“Time-Performance-Based Award(s)”Awards” means any Eligible Equity Award that is subject to performance-based vesting solely based on continued service through a certain date. For avoidance of doubt, an Eligible Equity Award that is(whether or not also subject to vesting based on the achievement of one or more performance metrics as well as continued service will not constitute a “Time-Based Award” unlessservice) and for which achievement of the performance metrics applicable to such Eligible Equity Award has not been determined as of the Retirement Date.

For avoidancespecified time period determined by or under the direction of doubt, an Eligible Equitythe Committee and specified in the related Award that is subjectAgreement, or earlier if the Committee so determines at the time of grant, including under circumstances in which the Participant’s Qualified Retirement Eligibility Date precedes the grant date or occurs during the Restriction Period, provided all other conditions to vesting based on the achievement of one or more performance metrics as well as continued service will not constitute a “Time-Based Award” unless achievement of the performance metrics applicable to such Eligible Equity Award hashave been determined as of the Retirement Date.met.
