The Administrative Agent (or its counsel) shall have received # counterpartsfrom each party hereto either # a counterpart of this Agreement, executed byAgreement signed on behalf of such party or # written evidence satisfactory to the Administrative Agent (which may include fax or other electronic transmission of a Responsible Officersigned signature page of each Loan Party andthis Agreement) that such party has signed a duly authorized officercounterpart of each Lender, # for the account of each Lender requesting a Note, a Note executed by a Responsible Officer of the Borrower,this Agreement and # counterpartsduly executed copies of any other Loan Document, executedDocuments to be entered into as of the date hereof and such other certificates, documents, instruments and agreements as the Administrative Agent shall reasonably request be delivered on the Effective Date in connection with the transactions contemplated by this Agreement and the other Loan Documents, including any Notes requested by a Responsible OfficerLender pursuant to [Section 2.10] payable to such requesting Lender and its registered assigns and a written opinion of the applicable Loan PartyParties’ counsel, addressed to the Administrative Agent, the Issuing Banks and a duly authorized officer of each other Person party thereto.the Lenders and in form and substance reasonably satisfactory to the Administrative Agent.
