Other Breaches of the Loan Documents. The breach by the Borrower or any other Loan Party (other than a breach which constitutes an Event of Default under [[clauses (a), (b) or (c) of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30 days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;

The breach by theany Borrower or any other Loan Party (other than a breach which constitutes an Event ofa Default under [[clauses (a), (b) or (c)another Section of this Article[Article VII]I]I]]) of any termof the terms or provisionprovisions of this Agreement or any other Loan Document which is not remedied within 30 days after the earlier to occur of # receipt by the Borrower of written notice of such breach fromthereof has been given to the Company by the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;at the request of any Lender.

The breach by the BorrowerCompany or any other Loan PartyBorrower, as applicable (other than a breach which constitutes an Event ofa Default under [[clauses (a)Section 7.1, 7.2 or 7.3]3]3]]3]), (b)of any of the terms or (c)provisions of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30thirty days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;or any Lender.

The breach by the Borrower or any other Loan Party (other than a breach which constitutes an Event ofa Default under [[clauses (a), (b) or (c)another Section of this Article VII]I]I]][Article 7]) of any termof the terms or provisionprovisions of this Agreement[[Section 6.9 or any other Loan Document6.14]4]]4] which is not remedied within 30five (5) days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;or any Lender.

The breach by the BorrowerCompany or any other Loan PartyBorrower, as applicable (other than a breach which constitutes an Event ofa Default under [[clauses (a)[Section 7.1, 7.2 or 7.3]3]3]), (b)of any of the terms or (c)provisions of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30thirty days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;or any Lender.

Section # The breach by the Borrower or any other Loan Party (other than a breach which constitutes an Event ofa Default under [[clauses (a)Section 7.1, 7.2 or 7.3]3]3]]3]3]), (b)of any of the terms or (c)provisions of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30thirty days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;or any Lender.

Covenant Breaches. Any Loan Party shall # fail to perform or observe any covenant contained in [Sections 5.01] (with respect to the existence of the Loan Documents. The breach by the BorrowerBorrower) and 5.07(a) and [Article VI] or # fail to perform or observe any other Loan Party (other than a breach which constitutes an Event of Default under [[clauses (a), (b) or (c) of this Article VII]I]I]]) of any term or provision ofcovenant set forth in this Agreement or in any other Loan Document which is not remedied withincovered by [clause (i) above] or any other provision of this [Section 7.01] if such failure shall remain unremedied for 30 days after the earlier to occur of # receipt by the Borrower of writtenany Loan Party obtaining knowledge thereof or receiving notice of such breachthereof from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;(including at the request of any Lenderthe Majority ​);

any Loan Party shall fail to observe or perform any covenant, condition or agreement contained in this Agreement (other than those which constitute a default under another Section of the Loan Documents. The breach by the Borrowerthis [Article VII]) or any other Loan Party (other thanDocument, and such failure shall continue unremedied for a breach which constitutes an Eventperiod of Default under [[clauses (a), (b) or (c) of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30thirty (30) days after the earlier to occur of # receipt by the Borrower of written noticeany Loan Party’s knowledge of such breach or notice thereof from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;(which notice will be given at the request of any Lender);

Other Breaches of the Loan Documents.Defaults. The breach by the Borrower or any other Loan Party (other than a breach which constitutes an Event of Default under [[clauses (a), (b)fails to perform or (c) of this Article VII]I]I]]) of any term or provision of this Agreement orobserve any other covenant or agreement (not specified in [[Sections 8.01(a) or 8.01(b)])]] above) contained in any Loan Document which is not remedied withinon its part to be performed or observed and such failure continues for 30 days after the earlierfirst to occur of # receipt by the Borrowerdate that any Executive Officer of written noticeany Loan Party obtains actual knowledge of such breach fromor # the date that the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;delivers notice to Borrower or other Loan Party of such breach; or

Section # The breach by the BorrowerCompany or any other Loan PartyBorrower, as applicable (other than a breach which constitutes an Event ofa Default under [[clauses (a)Section 7.1, 7.2 or 7.3]3]3]]3]3]), (b)of any of the terms or (c)provisions of this Article VII]I]I]]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30thirty days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;or any Lender.
