Continuation of Representations and Warranties. The representations and warranties contained in this Agreement and the other Loan Documents shall be true and correct in all material respects, except for any representation and warranty that is qualified by materiality or reference to Material Adverse Effect, which such representation and warranty shall be true and correct in all respects, on and as of such borrowing, issuance or extension date with the same effect as if made on and as of such date (except for any such representation and warranty that by its terms is made only as of an earlier date, which representation and warranty shall remain true and correct in all material respects as of such earlier date, except for any representation and warranty that is qualified by materiality or reference to Material Adverse Effect, which such representation and warranty shall be true and correct in all respects as of such earlier date), and except that for purposes of this [Section 5.2(a)], the representations and warranties contained in the first sentence of [Section 6.14] shall be deemed to refer to the most recent statements furnished pursuant to [Section 7.1(a) or 7.1(b)])], as applicable.

Continuation of Pre-Closing Conditions, Representations and Warranties. All conditions precedent to the making of the Loan shall remain satisfied at all times in all material respects during the term of this Agreement, and all representations and warranties made by each Obligor in the Loan Documents shall be deemed to be made at all times during the term of this Agreement.

The Loan Parties make the representations and warranties in this [Section 5] on the Closing Date and each date thereafter on which a Loan is made (other than pursuant to [Section 2.5.6]) or a Letter of Credit is issued as provided in and subject to [Sections 2 and 6].
