No Liens. The Servicer shall not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien (other than the Lien created by this Agreement) on the Collateral or any interest therein, the Servicer will notify the Administrative Agent and each Lender of the existence of any Lien on any portion of the Collateral immediately upon discovery thereof (but in no event later than three (3) Business Days after discovery thereof), and the Servicer shall defend the right, title and interest of the Administrative Agent on behalf of the Secured Parties in, to and under the Collateral against all claims of third parties claiming through or under the Servicer.

Security Interests. The Servicer shallBorrower will not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien (other thanon any portion of the Lien created by this Agreement) on the CollateralCollateral, whether now existing or hereafter transferred hereunder, or any interest therein, and the ServicerBorrower will not sell, pledge, assign or suffer to exist any Lien on its interest, if any, hereunder. The Borrower will promptly notify the Administrative Agent and each Lender of the existence of any Lien on any portion of the Collateral immediately upon discovery thereof (but in no event later than three (3) Business Days after discovery thereof), and the ServicerBorrower shall defend the right, title and interest of the Administrative Agent on behalf of the Secured Parties in, to and under the Collateralsuch Collateral, against all claims of third parties claiming throughparties; provided, however, that nothing in this subsection shall prevent or underbe deemed to prohibit the Servicer.Borrower from suffering to exist Permitted Liens upon any portion of the Collateral.

Notice Regarding Collateral. The Servicer shall not sell, pledge, assign or transfer to any other Person, or grant, create, incur, assume or suffer to exist any Lien (other than the Lien created by this Agreement) on the Collateral or any interest therein, the Servicer will notifyadvise the Administrative Agent and each Lender in writing promptly, in reasonable detail of the existence of# any Lien on(other than Permitted Liens) asserted or claim made against any portion of the Collateral immediately upon discovery thereof (but in no event later than three (3) Business Days after discovery thereof), andCollateral, # the occurrence of any breach by the Servicer shall defendof any of its representations, warranties and covenants contained herein and # the right, title andoccurrence of any other event which could have a material adverse effect on the security interest of the Administrative Agent on behalf of the Secured Parties in, to and underin the Collateral againstor the collectability of all claimsor a material portion of third parties claiming throughthe Receivables, or underwhich could have a material adverse effect on the Servicer.security interests of the Administrative Agent for the benefit of the Secured Parties.
