Contents. The U.S. Commercialization Plan shall set forth the strategy for the Commercialization of the Profit Share Product in the U.S., the key Commercialization activities to be performed to implement such strategy, and the staffing requirements for each such Commercialization activity. If Fate exercises the U.S. Commercialization Option pursuant to [Section 5.1.3] of this Exhibit, the U.S. Commercialization Plan shall allocate responsibility between the Parties for Commercialization activities with respect to the Profit Share Product in the U.S., which allocation shall be consistent with [Section 5.1.3] of this Exhibit.

For the denial of a Disability benefit, the notice will also include: # either the specific internal rules, guidelines, protocols, standards or other similar criteria of this Plan relied upon in making the adverse determination or, alternatively, a statement that such rules, guidelines, protocols, standards or other similar criteria of this Plan do not exist; # if the adverse benefit determination is based on a medical necessity or experimental treatment or similar exclusion or limit, either an explanation of the scientific or clinical judgment for the determination, applying the terms of the Plan to the Claimant’s medical circumstances, or a statement that such explanation will be provided free of charge upon request; and # a discussion of the decision, including an explanation of the basis for disagreeing with or not following # the views, presented by the Claimant to the Appeals Committee, of health care professionals treating the Claimant and vocational professionals who evaluated the Claimant, # the views of medical or vocational experts whose advice was obtained on behalf of the Appeals Committee in connection with the Claimant’s adverse benefit determination, without regard to whether the advice was relied upon in making the benefit determination, and # a disability determination regarding the claimant presented by the Claimant to the Appeals Committee made by the Social Security Administration. The notice shall be provided in a culturally and linguistically appropriate manner (as described in [Section 2560.503-1(o)])] of the Department of Labor Regulations). If the Claimant does not receive a written decision within the time period(s) described above, the appeal shall be deemed denied on the last day of such period(s).”

The Table of Contents is deleted in its entirety and replaced by a new Table of Contents, provided as Enclosure 1, and incorporated into the Purchase Agreement. The new Table of Contents reflects the revisions set forth in this Supplemental Agreement No. 21.

Contents of Agreement. This Agreement consists of this Signature Page and attached [Schedules A] (“General Terms and Conditions”), B (“Position and Certain Compensation Information”), C (“Referenced Competitors”), and D (“Release”), each of which is incorporated into this Agreement by reference.

Headings and table of contents should be ignored in construing this Agreement.

Contents of Election Forms. The Committee has the discretion to specify the contents of Election Forms. Subject to such discretion, each Election Form will set forth: # the type of compensation (Cash Compensation or RSU Awards) that the Participant is electing to defer, beginning with the next Plan Year; # the percentage of each (or, if Cash Compensation, the dollar amount) to be deferred; # the desired end date of the deferral period, following which shares of Common Stock will be issued to the Participant; and # whether the DSUs will settle and pay out all at once or in substantially equal annual installments over 2 to 5 years.

Communication of Contents of Letter. While employed by the Company and for one year thereafter, you will communicate the contents of paragraphs 8-12 of this Letter to any person, firm, association, partnership, corporation or other entity that you intend to be employed by, associated with, or represent.

Contents of Notices of Acquisition. Each Notice of Acquisition shall consist of one or more electronic submissions to the Administrative Agent (in such format and transmitted in such a manner as the Administrative Agent, the Portfolio Manager and the Company may reasonably agree (which shall initially be the format and include the information regarding such Portfolio Investment identified on [Schedule 2])), and shall be accompanied by such other information as the Administrative Agent may reasonably request.

Communication of Contents of Letter. While employed by the Company and for one (1) year thereafter, Employee will communicate the contents of this Agreement to any person, firm, association, partnership, corporation or other entity that Employee intends to be employed by, associated with, consult for, or represent.
