Consulting Arrangement. Beginning on January 1, 2014 and continuing through December 31, 2017 (the “Consulting Period”), you agree to provide consulting services as provided herein to AFG and any related organizations, including, without limitation, any and all subsidiaries and affiliates of [[Organization B:Organization]] and their officers and directors (collectively, the “Company”), making yourself available to answer questions and consult with the Company upon reasonable request. You further agree to use your best efforts to make yourself available at reasonable times and for reasonable periods of time thereafter if your cooperation is required or requested to assist the Company in connection with litigation or regulatory inquiries relating to matters arising while you were an officer of the Company. During the Consulting Period, you will be provided with office space, administrative assistance, parking, conference and dining services and equipment necessary to fulfill your responsibilities under this paragraph. In consideration of your willingness to provide these consulting services, you will be paid a consulting fee (“Consulting Fee”) of $350,000 per year, paid in equal quarterly installments of $87,500 on January 1, April 1, July 1 and October 1 during 2014, 2015, 2016 and 2017. As an independent consultant during the Consulting Period, you will bear responsibility for all applicable taxes, including without limitation, the federal self-employment tax and withholding for federal income taxes and Social Security.

Consulting Fees. Consultant shall receive annual consulting fees at the rate of $50,000.00 per year, payable in four (4) equal quarterly installments.

Consulting Fee. No cash remuneration shall be paid hereunder.

Duties During Consulting Term. For the avoidance of doubt, Executive may provide part-time consulting services to other entities through the Consulting End Date, so long as such part-time consulting services do not conflict with the Consulting Services, do not pose a conflict of interest, do not violate Executive’s obligations under this Agreement, and do not compete in any way with the Company.

We expanded our services to include consulting upon the acquisition of Agri-Contractors, LLC in Nov 2016. Our consulting services include:

Termination of Consulting Term. Notwithstanding anything to the contrary, the Consulting Services shall automatically end on June 19, 2023 (the “Consulting End Date”), unless Executive’s consulting engagement is otherwise altered by agreement of the Parties. The Company and Executive can end the Services upon one-hundred and twenty (120) days’ notice, in which case any provision of this Agreement unrelated to the Consulting Services will become null and void.

CONSULTING SERVICES – The Corporation hereby retains the services of the Consultant, on an exclusive basis, and the Consultant hereby agrees to provide consulting services to the Corporation described in this Agreement.

The Consultant agrees to act as President and Chief Executive Officer of the Company and to perform the following services and undertake the following responsibilities and duties to the Company as consulting services (the "Consulting Services"):

The Consultant is free to perform Consulting Services in the manner the Consultant deems fit and in accordance with recognized standards for such services, and shall perform such Consulting Services free from the direction and control of the Company.

Services. You shall render customary services as a Director, member of the Audit Committee, Nomination Committee and Compensation Committee(hereinafter, your 'Duties'). During the term of this Agreement, you may attend and participate at each meeting regarding the business and operation issues of the Company as regularly or specially called, via teleconference, video conference or in person. You shall consult with the members of the Board and committee (if any) regularly and as necessary via telephone, electronic mail or other forMr of correspondence.
