Consulting Period. Executive will be engaged as a consultant to the Company for a period beginning the day immediately following the Effective Date and ending on the one-year anniversary of the Effective Date (the “Consulting End Date,” and the period immediately following the Effective Date and ending on the Consulting End Date, the “Consulting Period”). Executive’s services hereunder during the Consulting Period will consist of such consulting and advisory services, and shall be provided at such times, as may be requested from time to time by the Board or the Chief Executive Officer of the Company. During the Consulting Period, Executive may perform such services from any location; provided that, the Company shall reimburse Executive for any reasonable travel and lodging expenses incurred in connection with any travel undertaken by the Executive at the request of the Board or the Chief Executive Officer in connection with such services. During the Consulting Period, Executive will not be treated as an employee of the Company or any of its subsidiaries or affiliates for any purposes, including, without limitation, for purposes of any past, present or future employee benefit plan, program or arrangement of the Company or any of its subsidiaries or affiliates, and Executive will not have any authority to bind the Company or any of its subsidiaries or affiliates in any way. Executive’s services hereunder during the Consulting Period will be performed in the capacity of an independent contractor. For avoidance of doubt, it is not anticipated that the Executive will have access to material non-public information of the Company during the Consulting Period. Accordingly, it is anticipated that the Executive will not be considered an insider of the Company during the Consulting Period for purposes of the Company’s Insider Trading Policy based solely on consulting and advisory services provided to the Company hereunder.

Consulting Period. You will serve as a consultant to the Company beginning on the first day following the Separation Date and ending on the three (3) year anniversary of the Separation Date (the “Consulting Period”), unless terminated earlier pursuant to Section 4(j).

Effective as of the Separation Date and continuing through January 8, 2023 (such date, the “End Date” and such period, the “Consulting Period”), you will provide such consulting services to the Company as may be reasonably requested of you from time to time by the Board or its designee. It is expected that you will devote not more than five (5) hours per month to the performance of your consulting services hereunder. You and the Company expressly agree that, in providing services to the Company during the Consulting Period, you will be an independent contractor and will not be an employee or agent of the Company or any of its Affiliates. During the Consulting Period, you agree to continue to comply with all Company policies and applicable laws concerning the use or disclosure of material nonpublic information with respect to the trading of securities of the Company.

Consulting Period. During the period (the “Consulting Period”) commencing on the Separation Date and ending on January 31, 2019 (the “Consulting Period End Date”), Executive shall be available to provide services to the Company, on a non-exclusive basis, as a consultant and shall provide transition services (the “Transition Services”) on an as-needed basis in Executive’s areas of expertise and work experience and responsibility. During the Consulting Period, Executive reaffirms his commitment to remain in compliance with that certain Proprietary Information and Inventions Agreement by and between Executive and the Company (the “Confidentiality Agreement”), including, without limitation, the non-solicitation and other restrictive covenants set forth therein, it being understood that the term “employment” as used in the Confidentiality Agreement shall include Executive’s provision of, or continued availability to provide, the Transition Services during the Consulting Period.

Consulting Period. The consulting relationship will continue until May 31, 2022, unless terminated earlier pursuant to Paragraph 3(h) below or extended by mutual written agreement (the “Consulting Period”).

Consulting Period. You will serve as a consultant to the Company beginning on March 16, 2021, and ending on September 16, 2021, unless terminated earlier pursuant to Section 5(h), or extended by written agreement by you and the Company (such period of time, the “Consulting Period”).

Consulting Period. The Consulting Relationship will be deemed to have commenced on the Separation Date and will continue until June 30, 2022, unless the Consulting Relationship has already been terminated earlier pursuant to Section 5(g) below (the “Consulting Period”). The Consulting Period can only be extended by a writing signed by you and a duly authorized officer of the Company.

Consulting Period. During the period (the “Consulting Period”) commencing on the Separation Date and ending on the six (6)-month anniversary thereof (the “Consulting Period End Date”), Executive shall be available to provide services to the Company, on a non-exclusive basis, as a consultant and shall provide transition services (the “Transition Services”) on an as-needed, as-requested basis in Executive’s areas of expertise and work experience and responsibility. During the Consulting Period, Executive reaffirms Executive’s commitment to remain in compliance with that certain Proprietary Information and Inventions Agreement by and between Executive and the Company (the “Confidentiality Agreement”), including, without limitation, the non-solicitation covenants set forth therein.

Consulting Period. Effective as of the Separation Date, the Employee shall commence providing consulting services to the Company as adviser to the successor CFO and will serve in that role until September 30, 2021 (such period, the “Consulting Period”), unless earlier terminated in accordance with this Agreement.

Consulting Period. You will serve as a consultant to the Company beginning on the Separation Date and ending on March 1, 2019 (the “Consulting Period”), unless terminated earlier pursuant to [Section 2(h)].
