Consulting Services. ​ retains Consultant to provide, and Consultant agrees to provide, consulting services to ​ as it may from time to time reasonably request and as further specified in the business terms exhibit (“Business Terms Exhibit”) attached to this Agreement (the “Consulting Services”). Any changes to the Consulting Services and/or any compensation adjustments in respect of the Consulting Services must be agreed upon in writing between Consultant and ​ prior to commencement of the changes.

Consultant shall provide advice to ​ related to the development of diagnostics, vaccines, and therapeutics for ​ programs focused on # influenza and parainfluenza, # dengue, # HIV, and # TFPI (“Consulting Services”).

Monthly Consulting Fee. As consideration for the Services rendered pursuant to this Agreement and for the assignment of certain of Consultant’s right, tile and interest pursuant hereto during the Term of the Agreement, Consultant will be paid a monthly consulting fee of $8,000 for each calendar month during the Term of this Agreement beginning on March 1, 2023 (the “Monthly Consulting Fee”). Any undisputed Monthly Consulting Fee will be paid on a monthly basis within thirty (30) days following Client’s receipt of Consultant’s invoice (as described below). If the Agreement is terminated prior to the conclusion of any calendar month, the Monthly Consulting Fee shall be prorated based on the number of days this Agreement was in effect for such partial calendar month. For Services rendered in February 2023, Consultant will be paid a pro-rated portion of the Monthly Consulting Fee based on the number of days this Agreement was in effect for such month.

You will receive a monthly consulting fee of $55,000 through the earlier of September 30, 2016 or the date you become employed elsewhere (the "Consulting Period").

Consulting Fee. Consultant’s fees will be based upon actual time spent in delivering the Services, at a rate of $425 USD per hour (the “Consulting Fee”); provided, however, that Consultant is not to perform more than 184 hours of Services in any given month without prior written consent from the ​ Chief Executive Officer or Chief Financial Officer. Any undisputed Consulting Fee will be paid on a bi-monthly basis within fifteen (15) days following Client’s receipt of Consultant’s invoice (as described below). If the Agreement is terminated prior to the conclusion of any calendar month, the Consulting Fee shall be prorated based on the number of days this Agreement was in effect for such partial calendar month.

Fee. Licensee shall pay Licensor a fee of ​ (​ USD) on or before March 15, 2023 as consideration for this Amendment # 2.

Fee. The Company shall pay the Director a fee for services hereunder of Fifty Thousand Dollars ($50,000) per annum (the “Board Compensation”) to be paid in equal quarterly installments of Twelve Thousand Five Hundred Dollars ($12,500) (the “Quarterly Payments”) beginning with the initial payment on June 30, 2021. Following the Initial Payment, Quarterly Payments shall be due on the last business day of each September, December, March and June in the Directorship Term hereof (the “Payment Dates”). The Board Compensation shall be paid either in readily available funds or fully paid, validly issued and non-assessable common stock of the Company (the “Common Stock”), at the sole option of the Board Member, to be exercised by written notice to the Company on or prior to the Payment Date, failing which the Board Compensation shall be paid in cash. In the event that a Quarterly Payment is to be remitted in Common Stock, the number of shares shall be determined by dividing the Quarterly Payment by the closing sale price of the Common Stock on the trading day immediately preceding the applicable Payment Date, as reported by the principal trading market for the Common Stock.

Fee. During the Term, the Company shall pay [[Mr. Kanas:Person]] an annual fee of $200,000 (the "Fee"), payable in arrears in equal monthly installments on the 15th day of each calendar month (or the following business day), with the first such payment for the month of January 2017 to be made on February 15th, 2017.

Fee. The Parties acknowledge that TCDS has paid to EDS the amounts specified in Exhibit A (“Assignment Fees”) in consideration for the prior grant of rights under the Assignment Agreement.

Referral fees . The Parties agree that Avail shall pay the Customer a fee (the “Referral Fee”) for any client that Customer refers to Avail and a.) who signs a contract with Avail for PMTA related consulting services to be submitted to the FDA, in whole or in part, prior to May 11, 2020, and b.) was not already in documented discussions with Avail for such services prior to the date of referral. This Referral Fee shall be ​ per client that is referred to Avail prior to September 6, 2019, and ​ for any client after September 6, 2019. The decision on if to agree to any PMTA contract with any referred client shall be entirely at Avail’s discretion. Furthermore, the Parties agree that Avail shall pay Customer a fee (the “Assistance Fee”) of ​ per company that Avail is successful in contracting as a PMTA client that is not already the subject of a Referral Fee, but that Avail requests Customer’s assistance in writing to secure as a PMTA consulting services client. No Referral Fee shall be paid under this Section 9 for any PMTA consulting services contract if the contract value is less than ​ per Flavor Family, calculated as total contract value divided by the number of Flavor Families included in the contract.
