Consulting Fee. Commencing as of the Effective Date and continuing thereafter during the term of this Agreement, the Company shall pay the Consultant a base consulting fee at the rate of Four-hundred thousand dollars ($250,000) per annum, payable Thirty-three thousand, three-hundred and thirty-three dollars ($20,833.33) per month.

CONSULTANT FEE- During the term of this Agreement, the Company shall pay the Consultant a consultant fee in consideration of the provision of the Consulting Services equal $4,000 US per month (the "Consultant Fee").

Subject to the terms and conditions set out in this Agreement, the Company shall pay to the Consultant, throughout the Term, a base fee (the “Base Fee”) of $297,000.00 per annum ($24,750.00 per month), to be paid monthly or in such other instalments and at such other times as the Consultant and the Company may agree. Anything herein contained to the contrary notwithstanding, the Board of Directors of the Company shall have the authority, in its sole reasonable discretion, to revise the amount of the Base Fee paid to Consultant pursuant to this [Section 4.1] from time to time, by majority vote.

CONSULTANT FEE- During the term of this Agreement, the Company shall pay the Consultant a consultant fee in consideration of the provision of the Consulting Services equal $500 US per month (the "Consultant Fee").

As payment for the Consulting Services rendered pursuant to this Agreement, the Company shall pay, and Consultant shall accept, a retainer fee in the amount of $400,000.00. The payment of the retainer fee shall be made in five equal installments of $80,000.00. Each installment will be payable on the first day of each month of the Term of the Agreement, or as soon as practicable after such date.
