Consulting. The Company will engage you as a consultant under the terms of the Consulting Agreement attached hereto as Exhibit B.

Consulting An Attorney. Pennypacker acknowledges that the Company has told him that he should consult an attorney of his own choice about this Agreement and every matter that it covers before signing this Agreement; and, that he has done so.

Consulting. If you timely enter into this Agreement, allow it to become effective, and remain in compliance with its terms, then the Company will engage you as a consultant under the terms set forth below.

Consulting. If you timely sign this Agreement and allow the release set forth herein to become effective, then following the Separation Date, the Company will engage you as a consultant under the terms set forth below.

Consulting. Executive agrees to provide up to a total of 20 hours of consulting services through December 31, 2021 to assist the Company in training Executive’s successor, assisting the Company’s administrative staff or any colleague reasonably requesting his services, and assisting any such successor with the transition. Executive is only obligated to provide such services if reasonably requested by the Company and only during regular business hours. The Company will reimburse Executive for any out-of-pocket expenses, including mileage, reasonably and actually incurred by Executive in providing such Services. Executive’s failure to provide these consulting services will not constitute a breach of this Consulting Agreement if the Company does not request performance of any such services.

Consulting an Attorney. Employee acknowledges that the Company has told him that he should consult an attorney of his own choice about this Agreement and every matter that it covers before signing this Agreement. Further, Employee acknowledges that he has consulted with an attorney of his own choosing, Michael R. Fox, Esq. of the Fox & Fox, S.C. law firm, prior to executing this Agreement, and that modifications to this Agreement were expressly negotiated by his attorney and were incorporated in this Agreement.

Consult With an Attorney. The Company hereby advises Executive to consult with an attorney of Executive’s choice (and at Executive’s expense) before Executive signs this Agreement.

Attorney. Each Borrower hereby irrevocably designates the Borrower Agent to be its attorney and agent and in such capacity to borrow, sign and endorse notes, and execute and deliver all instruments, documents, writings and further assurances now or hereafter required hereunder, on behalf of such Borrower or Borrowers, collectively, and hereby authorizes the Agent to pay over or credit all loan proceeds hereunder in accordance with the request of the Borrower Agent.

Consulting An Attorney. [[Person A:Person]] acknowledges that the Company has told him that he should consult an attorney of his own choice about this Agreement and every matter that it covers before signing this Agreement.

Consulting. During the sixty day period following any termination of this Agreement pursuant to Section ‎3.1.3, Section ‎3.1.4, Section ‎3.1.6, or Section ‎3.1.7, Executive shall be available, subject to his other reasonable commitments or obligations made or incurred in mitigation of the termination of his employment, by telephone, email or fax, as a consultant to the Company, without further compensation, to consult with its officers and directors regarding projects and/or tasks as defined by the Board.
